Overview
An experienced corporate securities attorney is sought to support the Associate General Counsel - Securities Counsel. This role involves handling all aspects of securities filings, compliance, and corporate governance. The ideal candidate will have extensive experience preparing SEC and state regulatory filings, including registration statements, annual reports, proxy statements, Forms 10-K, 10-Q, and 8-K. Deep expertise in executive compensation related to proxy filings, reporting, and board governance is also required. Prior experience at an AmLaw 200 law firm or in the corporate legal department of a public company is strongly preferred.
Responsibilities
- Prepare and review SEC and state regulatory filings such as registration statements, annual reports, proxy statements, Forms 10-K, 10-Q, and 8-K
- Advise on securities compliance and corporate governance matters
- Handle executive compensation issues related to proxy filings and reporting
- Support board governance activities
Requirements
- Minimum of 5 years of sophisticated legal experience
- Prior experience as a corporate securities attorney at an AmLaw 200 law firm or in the corporate legal department of a public company is strongly preferred
- Excellent academic credentials from an accredited law school
- Outstanding professional references
- Licensed to practice law and in good standing in the state of residence

Compensation & Benefits
- Annualized pay ranges from $180,000 to $200,000 (full-time equivalent), with actual pay based on experience, qualifications, location, and other factors
- Contract professionals are typically W2 employees eligible for full benefits when working 20+ hours per week
