Overview
An established global law firm is seeking an Investment Funds Paralegal to support its Investment Funds practice. This role focuses on complex private equity and fund transactions and requires specialized experience in this area.
Location
- Primarily remote
- Candidates must be based in one of the following locations: New York, San Francisco, Palo Alto, Los Angeles, San Diego, Seattle, Austin, Washington, DC
Responsibilities
Investment Funds and Private Equity
- Support fund formations, restructurings, and ongoing fund operations
- Assist with secondary transactions, including limited partner (LP) transfers and related documentation
- Review subscription documents and support investor onboarding
Transactional Execution
- Prepare and file UCC financing statements
- Support securities filings, including Form D and Blue-Sky filings
- Coordinate deal closings, including managing checklists, signature pages, and closing deliverables
- Manage data rooms and organize transaction documentation
Corporate and Entity Management
- Assist with entity formations, amendments, and state qualifications
- Maintain capitalization tables, stock and options ledgers
- Prepare annual filings and maintain corporate records and minute books
- Support due diligence and document review processes
Requirements
- Direct experience supporting investment funds or private equity transactions is required
- Exposure to secondary transactions is preferred
- Corporate transactional paralegal experience within a law firm
- Experience with UCC filings, closings, and fund-related documentation
- Blue Sky and securities filing experience preferred
- Demonstrated employment stability and strong tenure
- Ability to manage multiple matters in a fast-paced, deal-driven environment
- High attention to detail and strong organizational skills
- Ability to work independently and anticipate attorney needs
Experience and Education
- 5+ years of relevant paralegal experience preferred
- Bachelor’s degree or paralegal certificate preferred
- Candidates without a degree must have substantial directly relevant experience
Compensation and Benefits
- Hourly, non-exempt role with eligibility for overtime
- Target compensation range: $100,360 to $132,995, depending on experience and location

Work Model
- Primarily remote with in-office attendance as required
