IT Commercial Contracts Attorney (Remote, Engagement)

Overview

An organization is seeking an attorney with extensive technology and commercial contracting experience to work on assignment with one of its corporate clients. The role involves drafting, negotiating, and reviewing a wide variety of commercial contracts and technology agreements, including SaaS, cybersecurity, reseller agreements, professional services, platform, and auditing contracts. Experience with Artificial Intelligence agreements is considered a plus. Candidates with prior experience at a corporate law firm, a sophisticated boutique firm, or in-house with a major company are preferred.

Responsibilities

• Draft, negotiate, and review complex technology transaction agreements
• Handle a variety of commercial contracts including SaaS, cybersecurity, reseller, professional services, platform, and auditing agreements
• Collaborate with corporate clients on contract matters

Requirements

• Minimum of 7 years of experience in technology and commercial contracts
• Significant experience drafting, negotiating, and reviewing complex technology transaction agreements
• Prior experience at a large corporate law firm, sophisticated boutique firm, or in-house with a major company preferred
• Excellent academic credentials
• Licensed to practice law and in good standing in state of residence
• Outstanding professional references

Compensation & Benefits

• Annualized pay ranges from $150,000 to $200,000 on a full-time basis; contract pay rates depend on experience, qualifications, credentials, location, market supply/demand, and candidate preference
