Overview

This early-career role is for a Junior Associate Counsel, Commercial Transactions within the legal team. You will work closely with Senior Counsel, Commercial Transactions on vendor contracts the organization buys under and merchant agreements the organization sells under.

Most matters are governed by US law and negotiated in English with US counterparties. The work emphasizes practical transactional skills, including drafting, negotiating, and closing agreements with growing independence.

Responsibilities

  • Vendor contracts: Review and negotiate NDAs, order forms, SOWs, and standard SaaS, services, data, and marketing agreements on both Sezzle paper and counterparty paper, using playbooks and escalating non-standard terms.
  • Merchant agreements: Prepare first drafts of merchant agreements, amendments, and onboarding terms, and turn counterparty redlines with guidance from senior lawyers.
  • Issue spotting: Identify and summarize key risk terms (including limitation of liability, indemnities, IP, data privacy and security, audit rights, termination, and service levels) in plain English for deal teams and senior counsel.
  • Business support: Provide fast, practical guidance to Sales, Partnerships, Procurement, Finance, Product, and Engineering on day-to-day contract questions, aligned to business goals.
  • AI workflows: Run contracts through Claude-enabled review workflows, critically evaluate outputs, and help improve review playbooks and prompts as templates and positions change.
  • Intake and lifecycle management: Manage matters through the intake queue and contract lifecycle platform; run pre-signature checks on parties, exhibits, and signature authority; keep renewals, amendments, and key obligations tracked.
  • Templates and precedent: Help maintain contract templates, fallback positions, and a precedent library to speed up subsequent deals.
  • Compliance coordination: Work with Compliance and Procurement to confirm required third-party risk management and bank-partner oversight terms are included in vendor and partner agreements.

Requirements

  • Education & licensing: Law degree and admission to practice in LATAM (tarjeta profesional) or a US jurisdiction.
  • Experience: 1 to 2 years of commercial, corporate, or transactional experience at a law firm or in-house, including internships, prácticas, or judicatura.
  • Language: Full professional fluency in written and spoken English to read, draft, and discuss US-law governed contracts directly with US counterparties, plus native or fluent Spanish.
  • Contract exposure: Some hands-on exposure to drafting or reviewing commercial contracts in English.
  • AI proficiency: Regular, hands-on use of AI tools such as Claude in academic or professional work, with interest in building better legal workflows.
  • Work quality & volume management: Strong attention to detail and ability to handle a high volume of contracts with accurate, reliable turnaround.
  • Business-first mindset: Ability to understand the deal beyond individual clauses, and explain risk and opportunity in plain language.
  • Time overlap: Availability to work with full overlap with US Central business hours.
  • Required AI usage: Demonstrated experience working with Claude or equivalent large language model tools is required; candidates must be comfortable leveraging AI to enhance productivity, research, and communication.
