Overview
This role involves serving as the primary legal partner responsible for all commercial contracting within the organization. The attorney will work closely with Sales, Customer Success, Security, and Procurement teams, providing guidance and mentorship to contracts and legal staff. The position focuses on managing commercial deals, improving contract playbooks, and advancing people, processes, and technology related to contracting.
Salary Range: $175,000 - $225,000 base salary, commensurate with experience
Location: Remote within the United States, with optional quarterly travel for in-person company events and other meetings.
Candidates must be authorized to work and reside in the U.S.; visa sponsorship is not available.
Responsibilities
- Lead negotiation and drafting of customer Master Service Agreements (MSAs), Statements of Work (SOWs), order forms, renewals, amendments, Data Processing Agreements (DPAs), and vendor SaaS/service agreements.
- Identify gaps and clarify fallback positions to improve the existing contracts playbook.
- Enhance the contracts function by aligning people, processes, and technology.
- Collaborate with Sales, Security, Finance, and Procurement teams to balance risk management with deal velocity.
- Provide leadership and guidance to contracts and legal staff members.
- Coordinate with outside counsel as needed and contribute to shaping the future operating model of the legal/contracts function.
Requirements
- Minimum of 8 years of experience focused on commercial contracts in B2B SaaS, preferably within cybersecurity.
- Strong negotiation skills and experience creating or improving contract templates and playbooks.
- Excellent attention to detail, prioritization skills, and practical judgment.
- Superior written and verbal communication abilities.
- Ability to maintain confidentiality, discretion, and professionalism at the highest standard.
- Juris Doctor (JD) degree and active legal license required.
