Overview

A global legal team is seeking an experienced Lead Counsel, Corporate to provide legal advice on corporate matters, with a primary focus on securities law disclosure review and related corporate governance issues. This role involves collaborating with senior leadership, board members, and various stakeholders to support SEC filings, treasury functions, and board committee processes.

Responsibilities

  • Advise on securities law disclosure, including press releases, earnings releases, investor relations presentations, website disclosures, Regulation G, and Regulation FD matters.
  • Support SEC filings and corporate governance activities.
  • Assist with treasury support and corporate transactions, including M&A.
  • Prepare and support board committee meeting materials, minutes, and resolutions.
  • Collaborate closely with founders, senior leadership, and board members.
  • Work effectively with international teams and cross-border legal matters.
  • Manage multiple priorities in a fast-paced, high-growth environment.

Requirements

  • Juris Doctor (J.D.) degree with strong academic credentials.
  • Membership in the California Bar or eligibility to register as Registered In-House Counsel.
  • Minimum of 12 years of significant experience in corporate legal matters, preferably including in-house experience at a high-growth company.
  • Extensive knowledge of the Securities Act and Exchange Act.
  • Experience supporting board committee processes.
  • Experience with M&A and corporate transactions.
  • Familiarity with legal issues faced by technology companies.
  • Strong analytical and critical thinking skills.
  • Excellent written and verbal communication skills.
  • Ability to collaborate effectively at all organizational levels.
  • Highly organized with the ability to adapt and prioritize competing tasks.
  • Willingness to take on varied responsibilities.

Preferred Qualifications

  • Experience working with international teams and cross-border legal issues.

Compensation & Benefits

  • Base salary range: $240,000 to $300,000 USD.
  • Eligibility for bonus, equity, benefits, and employee travel credits.

Location

  • This is a US-based remote-eligible position.
  • Candidates must reside in a state where the employer has a registered entity.
  • Occasional work at an office or attendance at offsite meetings may be required.
