Overview

A global legal team is seeking an experienced Lead Counsel, Corporate to provide legal advice on corporate matters, with a primary focus on securities law disclosure review and related corporate governance issues. This role involves working closely with senior leadership, board members, and various stakeholders to support SEC filings, treasury functions, and corporate transactions in a high-growth environment.

Responsibilities

  • Advise on securities law disclosure, including press releases, earnings releases, investor relations presentations, website disclosures, Regulation G, and Regulation FD matters
  • Support SEC filings and corporate governance activities
  • Assist with board committee processes, including preparation of meeting materials, minutes, and resolutions
  • Provide legal support for M&A and other corporate transactions
  • Collaborate with international teams and manage cross-border legal issues
  • Partner with senior leadership and board members on corporate legal matters

Requirements

  • Juris Doctor (J.D.) degree with strong academic credentials
  • Member of the California Bar or eligible to register as Registered In-House Counsel
  • Minimum 12 years of significant experience in corporate law, preferably with in-house experience at a high-growth company
  • Extensive knowledge of the Securities Act and Exchange Act
  • Experience supporting board committee processes and corporate transactions
  • Familiarity with legal issues faced by technology companies
  • Ability to work effectively with all organizational levels and international teams
  • Strong analytical and critical thinking skills with the ability to provide clear, actionable legal advice
  • Highly organized with the ability to manage multiple priorities in a dynamic environment
  • Excellent written and verbal communication skills
  • Willingness to take on varied tasks and responsibilities

Preferred Qualifications

  • Experience working in a fast-paced, deal-active environment
  • Cross-border legal experience

Compensation & Benefits

  • Base salary range: $240,000 to $300,000 USD
  • Eligibility for bonus, equity, benefits, and employee travel credits

Location

  • This position is US remote eligible
  • Candidates must reside in a state where the employer has a registered entity
  • Occasional work at an office or attendance at offsite meetings may be required
