Overview
A global organization is seeking a Commercial Legal Counsel to join their Legal and Compliance team within the Governance department. This new role reports directly to the Head of Legal Americas: North & Eastern Europe and supports the delivery of commercial legal advice and expertise to the leadership team.
Responsibilities
- Draft, review, and negotiate commercial contracts related to business transactions in the assigned market.
- Identify and apply relevant laws affecting the business.
- Advise on master service agreements, key supplier agreements, and general terms and conditions (both internal templates and third-party versions).
- Support mergers and acquisitions (M&A) and other corporate legal matters as requested.
- Provide commercial legal advice and guidance on legal risks and contracts to colleagues.
- Draft and review data processing and data sharing agreements, collaborating with the Data Privacy team on data protection matters.
- Work with the Legal Team on compliance issues, including risk management and company policies and procedures.
- Operate autonomously as part of a dynamic legal team.
Requirements
- Qualified solicitor or barrister in the relevant market or region.
- Significant experience working in-house within an international team on commercial and intellectual property (IP) matters.
- Proven experience providing legal and contractual advice to senior management.
- Strong interest and passion for IP and Data law, with a commitment to ongoing professional development in these areas.
- Excellent academic background, including a law degree or equivalent legal qualification.
- Experience in an IP or data-centric business such as marketing, media, technology, advertising, or publishing.
- Demonstrated experience collaborating with product and engineering teams on artificial intelligence-related legal issues.
- Experience drafting legal documents and reviewing commercial contracts to identify compliance risks.
- Pragmatic and process-driven approach to tasks and reporting.
- Strong communication and stakeholder management skills.
Preferred Qualifications
- Experience working on strategic legal, privacy, compliance, and governance projects.
- Ability to support the rollout and adoption of global policies and processes.
- Experience working closely with senior governance professionals.
Compensation & Benefits
- Base salary range for roles based in California, New York, Colorado, Massachusetts, or Washington State: $135,000 - $170,000 USD.
- Compensation is determined by factors including location, knowledge, skills, and experience.
