Overview
A global enterprise automation and AI company is seeking a seasoned Senior In-House Legal Counsel to join on a part-time basis. This role primarily supports the North America (NORAM) business with legal guidance on commercial transactions and day-to-day legal matters. The position also provides backup support for Europe, Middle East, and Africa (EMEA) as needed. The engagement can be structured as either a W-2 employee or an independent contractor (1099), depending on candidate preference.
Responsibilities
Commercial Contracts and Sales Support
- Review, draft, and negotiate commercial agreements for the NORAM region.
- Provide overflow and backup support for EMEA commercial transactions during peak periods or absences.
- Collaborate with internal stakeholders and regional legal teams to ensure timely legal support across jurisdictions.
- Draft and negotiate NDAs, Supplier Agreements, Intercompany Agreements, and Partnership Agreements.
- Balance legal risk with commercial objectives to facilitate deal closure.
Privacy and Data Protection
- Advise on compliance with GDPR (EU and UK), CCPA, and other applicable data protection regulations.
- Support the development and maintenance of privacy policies and procedures for NORAM and EMEA.
Legal Counsel and Risk Management
- Provide timely legal guidance on commercial and contractual matters.
- Identify legal risks and recommend practical mitigation strategies.
- Advise on trademark, intellectual property, and cross-border legal issues.
- Resolve issues autonomously and pragmatically, minimizing unnecessary escalation or delay.
Templates and Knowledge Transfer
- Develop and maintain contract templates, legal playbooks, and guidelines for internal teams.
- Deliver ad hoc legal training to stakeholders across regions.
Requirements
- Juris Doctor (JD) from an accredited U.S. law school.
- Active admission to a U.S. state bar.
- Minimum 5 years of legal experience, including significant enterprise SaaS contract negotiation on the vendor side.
- Demonstrated experience negotiating commercial contracts in the technology or SaaS sector.
- Working knowledge of UK and German legal frameworks for commercial contracts and data protection.
- Familiarity with GDPR, UK GDPR, and CCPA in a multinational context.
- Strong analytical, drafting, and communication skills.
- Familiarity with trademark law and intellectual property in a commercial setting.
- Ability to manage competing priorities independently and deliver under tight deadlines.
Preferred Qualifications
- Prior in-house legal experience at a technology or SaaS company.
- Experience supporting international sales teams across NORAM and EMEA.
- Privacy law certification such as CIPP/E or CIPP/US.
- Experience with complex transactions involving security, privacy, and intellectual property.
- Working knowledge of German commercial law and contract standards.
- Fluency in German or Spanish.
Location
This role primarily supports the NORAM region and requires time-zone alignment to serve as the primary legal resource for that area. Support for EMEA will be provided as needed.
