Legal Counsel

Overview

A global crypto-native investment firm is seeking a Counsel to join their legal team. This role involves serving as a key legal partner across investment activities and fund operations, working closely with senior members of legal, investment, and operations teams. The position offers significant autonomy and direct exposure to legal issues in venture capital and the digital asset space.

Responsibilities

• Draft, review, and negotiate transaction documents for equity and token-based venture investments, including SAFEs, series seed to C rounds, growth equity and late-stage financings, token side letters, token warrants, and related agreements
• Advise the investment team on legal and regulatory issues related to investments
• Draft and negotiate NDAs, MSAs, consulting agreements, and other commercial contracts
• Provide counsel on structuring and executing investments across various deal types, stages, and jurisdictions
• Support legal execution of growth equity and late-stage investments, including due diligence, deal structuring, and negotiation of definitive agreements
• Offer day-to-day legal support on matters involving portfolio companies, co-investors, and counterparties
• Assist with general corporate matters such as fund operations, entity management, governance, contract review, and regulatory analysis
• Monitor and advise on developments in crypto-related regulation and legislation
• Coordinate with external counsel and manage outside legal engagements efficiently
• Support fund formation, governance, and operational matters as needed

Requirements

• J.D. from an accredited or top law school and active membership in good standing with at least one U.S. state bar
• 3–5 years of experience at a top-tier law firm focusing on venture capital, growth equity, emerging companies, startup financing, or general corporate transactional work
• Experience advising venture capital funds, growth equity funds, startups, or other participants in the venture ecosystem on financing rounds and corporate matters
• Strong interest in or demonstrable passion for crypto, blockchain technology, crypto legal policy, and the digital asset ecosystem
• Exceptional drafting, negotiation, communication, and analytical skills with meticulous attention to detail
• Ability to work autonomously and cross-functionally in a fast-paced, remote-first environment with flexible availability across time zones
• Fast learner and resourceful problem-solver who thrives on creative solutions to novel legal questions

Preferred Qualifications

• Direct experience or knowledge of crypto-native regulatory and legislative matters
• Exposure to fund formation, limited partner relations, or fund-level operational legal work
• Experience working in-house at a crypto company, fund, or blockchain-native organization

Compensation & Benefits

• Salary range: $250,000 to $300,000, commensurate with experience
