Overview
A large global company is seeking a mid-level contract M&A attorney (approximately 6–10 years of experience) to serve as the legal separation lead for two sizable businesses being sold.
This role involves taking ownership of the legal work needed to disentangle the businesses from a broader corporate organization. You will work alongside an external advisory team that has developed the separation work plan.
Responsibilities
- Lead legal workstream(s) required to execute corporate separations and related M&A activities
- Manage transaction execution tasks to keep complex separations moving under tight timelines
- Support asset transfers, internal stock sales, contributions and distributions, and other corporate/M&A workstreams necessary to complete the separations
- Operate across the M&A transaction lifecycle as needed (including acquisitions, divestitures, venture investments, and related corporate transactions)
- Independently drive substantive legal work while also managing detailed execution across multiple concurrent tasks
- Coordinate closely with the external advisory team
- Maintain high responsiveness in a fast-paced, high-volume environment with tight turnaround times
Requirements
- Approximately 6–10 years of experience
- Strong, hands-on transactional M&A experience
- Comfort independently driving substantive legal work
- Ability to manage numerous tasks simultaneously and meet tight turnaround times
- Availability to work 40 hours/week
Preferred Qualifications
- Experience with separation transactions and corporate disentanglements
- Comfort operating across the M&A transaction lifecycle (acquisitions, divestitures, venture investments, and related corporate transactions)
Compensation & Benefits
- Hourly rate expected to be between $115 and $120
- This range is an estimate; compensation will be based on qualifications, skillset, relevant experience, specific client needs, project requirements, and other considerations permitted by law
