Overview
A technology company specializing in AI research and products is seeking a Contract Manager / Paralegal to support its Legal team. The organization has developed advanced AI voice models and serves millions of users and thousands of businesses globally. This role involves managing a variety of commercial, corporate, compliance, litigation, and operational legal matters across multiple jurisdictions.
Responsibilities
- Review, manage, and track customer and vendor agreements including NDAs, MSAs, SOWs, DPAs, and amendments.
- Maintain contract records and reporting using Contract Lifecycle Management (CLM) systems and DocuSign.
- Review and negotiate NDAs to ensure compliance with company policies.
- Support contract negotiations and assist with updates to templates and playbooks.
- Maintain corporate records for U.S. and international subsidiaries, including board minutes, resolutions, and signatory updates.
- Coordinate with external counsel on entity formation, registrations, and compliance filings.
- Assist with managing the intellectual property portfolio by tracking filings and maintaining records.
- Participate in special projects such as corporate diligence, litigation matters, and compliance rollouts.
Requirements
- Minimum of 3 years experience as a contract manager or paralegal, preferably with in-house experience at a technology or SaaS company.
- Strong understanding of contract management and corporate governance.
- Experience supporting international entities and working with external counsel.
- Familiarity with SaaS and AI contracting considerations is a plus.
- Proficiency with CLM tools such as Ironclad, Salesforce, Asana, DocuSign, or similar systems.
- Excellent organizational skills with the ability to manage multiple competing deadlines.
- Highly organized, detail-oriented, and proactive with the ability to juggle multiple priorities while maintaining accuracy.
- Strong communication skills and ability to collaborate effectively with cross-functional teams.
- Comfortable working independently in a distributed, high-trust environment.
- Genuine interest in AI and emerging technologies, with curiosity and enthusiasm for the role.
