Overview

This role supports the commercial and transactional work of the Corporate Payments line of business in the Americas within the Commercial Legal team. The Commercial Paralegal will draft, review, and manage contract documentation, coordinate workflow through internal systems, and partner with attorneys and cross-functional stakeholders.

Remote flexibility is available from: Portland, ME; Boston, MA; New York, NY; Washington D.C.; Chicago, IL; or Dallas, TX.

Responsibilities

  • Draft and revise commercial contracts, including NDAs, customer contracts, and revenue-generating agreements (e.g., credit agreements, program agreements, referral agreements, technology services agreements, service level agreements, and non-disclosure agreements), accurately and in compliance with company policies and risk framework.
  • Review customer-requested contract changes; coordinate with Corporate Payments attorneys and relevant stakeholders for feedback/approvals; revise documents as needed.
  • Assist attorneys with preparation, review, and execution of transaction documents, forms, and filings for the Corporate Payments line of business in the Americas.
  • Assist with the migration of legacy contracts to the company’s new contract lifecycle management system.
  • Manage contract workflow end-to-end through intake, routing, version control, execution, and post-signing tasks via the contract lifecycle management system, including:
    • Obtaining relevant information
    • Creating and redlining contracts
    • Routing for internal review and approvals
    • Sending for signatures
    • Updating the contract record as needed
  • Manage legal matter workflow, including handling the legal request queue for matter intake in the workload/matter management system, interfacing with internal stakeholders, and completing administrative tasks to support the Corporate Payments legal team.
  • Collaborate with support functions including Finance, Compliance, and Risk.
  • Assist with strategic projects as necessary.
  • Use strong written and verbal communication skills and exercise sound judgment and independent decision-making.

Requirements

  • Education: Paralegal degree or certification, or bachelor's degree in Finance or Business.
  • License/Certification: Paralegal Certificate from an ABA accredited paralegal program, B.A. or B.S. degree, or Juris Doctorate.
  • Experience: 5+ years of paralegal or equivalent experience with commercial contracts and transactional matters, including drafting/generating agreements, redlining, and reviewing contract revisions and comments.
  • Demonstrated ability to learn IT applications and systems.
  • Strong organizational, multi-tasking, and prioritizing skills to independently manage a heavy workload while remaining accountable for work product.
  • Ability to work as a team player in a fast-paced environment.
  • Excellent written and verbal communication skills.
  • Strong analytical skills with high attention to detail and accuracy.
  • Collaborative, flexible, adaptable approach to working across functions in a team-oriented environment.
  • Proficiency in Google Suite, Microsoft Office, Adobe Acrobat, and DocuSign.

Preferred Qualifications

  • Experience with legal technologies (matter management and contract lifecycle management systems).
  • Experience with all aspects of a contract lifecycle management process.
  • Previous experience working in-house supporting a line of business on the customer side.

Compensation & Benefits

Pay Range: $38.70 - $49.30

Base pay range represents the anticipated low and high end of the pay range for this position. Actual pay rates vary based on qualifications, skills, competencies, and role proficiency.
