Overview
This contract role is for a Paralegal specializing in entity management. The assignment is fully remote and part-time, supporting approximately 20 hours per week.
The engagement supports a portfolio of approximately 300 U.S. entities across nearly every state and approximately 50 foreign entities. Work includes Delaware and multi-state filings, ongoing entity administration, and corporate governance documentation.
Responsibilities
- Manage a large U.S. and international entity portfolio (approximately 300 U.S. entities and approximately 50 foreign entities)
- Handle Delaware and multi-state filings, including corporate forms and ongoing compliance submissions
- Prepare, complete, and submit corporate forms and DBA filings
- Perform ongoing entity maintenance and compliance tasks
- Maintain organizational chart documentation
- Support corporate governance cleanup, including:
- Standardizing operating agreement templates
- Preparing and updating member consents
- Maintain corporate records and entity documentation
Requirements
- 5+ years of entity management or corporate paralegal experience (large multi-entity portfolio experience highly preferred)
- Prior experience handling high-volume Delaware and multi-state filings, DBA filings, and ongoing entity compliance
- Experience with corporate governance documentation, including operating agreement templates, member consents, and corporate records
- Highly organized, responsive, and able to manage a substantial administrative workload accurately and independently
- Interest in providing long-term, consistent support
- Outstanding professional references
- iManage and Athennian experience preferred (used for document storage and entity information management)
Preferred Qualifications
- Experience working with large multi-entity portfolios
- Experience using iManage and Athennian
Compensation & Benefits
- Pay: Annualized pay range of $83,200 to $114,000 when calculated on a full-time basis. Contract pay is based on factors including work experience, qualifications, credentials, location, market supply/demand, and the candidate’s preference.
- Insurance (contract engagements): Complimentary professional liability insurance coverage for work or acts/omissions provided within the scope of an authorized engagement.
- Benefits eligibility: Full benefits are available for those working 20+ hours per week, including group medical, dental, and vision insurance, plus complimentary group life, LTD, and AD&D insurance.
- 401(k): A qualified 401k plan is available.
- Additional support for eligible attorneys: Benefits-eligible attorneys receive a CLE and professional expense stipend.
