Overview

An ongoing engagement is available for a Paralegal supporting a Global Healthcare Company. The role is remote and will begin as soon as possible.

This position partners with international Finance, Tax, Treasury, Legal, and Compliance teams, along with outside counsel and corporate secretarial providers, to support governance, compliance, and strategic cross-border transactions, including entity restructurings, cash management and repatriation, tax planning, and mergers and acquisitions.

Responsibilities

  • Draft, review, and coordinate corporate governance documentation, including board and shareholder resolutions, minutes, written consents, powers of attorney, and director/officer appointments and resignations
  • Coordinate annual general meetings, board meetings, and statutory financial statement approvals
  • Maintain corporate records and minute books, governance databases, organizational charts, and legal entity management systems
  • Coordinate annual corporate maintenance activities, including annual reports and statutory filings, through local service providers and outside counsel
  • Manage KYC, UBO, and due diligence requests, including providing corporate records to banks, auditors, and regulators
  • Support entity formations, liquidations, mergers, and acquisitions, and other cross-border restructurings
  • Monitor governance obligations and support implementation of corrective actions and governance best practices

Required Qualifications

  • Experience with international corporate governance and legal entity management
  • Experience drafting and coordinating board and shareholder governance documentation
  • Experience supporting KYC/UBO and due diligence requests from banks, auditors, or regulators

Preferred Qualifications

  • Proficiency with Microsoft Office (Word, Excel, Outlook) and Microsoft Teams
  • Familiarity with iManage and hCue

Compensation & Benefits

  • $1,800 - $2,000 per week (based on a 40-hour week)
  • Employment will be through a workforce solutions company (W-2) for the duration of the engagement to comply with client policy

Location and Schedule

  • Location: Remote
  • Schedule: Full-time, approximately 30–40 hours per week
  • Duration: Ongoing
