Overview
A rapidly growing ecommerce company is seeking a Legal Operations & Contracts Manager (or an experienced Paralegal/Legal Project Manager) to build and scale its legal infrastructure. This role involves managing critical workstreams, maintaining corporate records, and accelerating the legal team's efficiency in a high-growth environment.
Responsibilities
- Develop organized repositories and repeatable processes to increase team velocity and operational effectiveness.
- Maintain corporate hygiene by managing corporate records, virtual data rooms, and disclosure schedules to support transactions and due diligence.
- Lead contract administration including managing contract templates, coordinating signatures, tracking renewal calendars, and preventing contract lapses.
- Identify compliance gaps proactively, analyze their impact, and lead remediation projects independently.
- Manage entity and legal operations such as state filings, registrations, service of process, legal invoicing, and insurance claims.
- Support litigation efforts by gathering documents and information for disputes, investigations, and legal holds.
- Drive transaction excellence by managing corporate transactions and M&A activities, including drafting disclosure schedules, coordinating closing checklists and signatures, and ensuring completion of post-closing integration tasks.
Requirements
- Minimum 7 years of experience as a Paralegal, Contracts Manager, or Legal Projects Manager at an Am Law 100 law firm, public company, or high-growth private company.
- Bachelor’s degree required.
- Proven ability to independently own workstreams with strong judgment, prioritization, and initiative.
- Ability to quickly reprioritize in response to shifting business needs while maintaining accuracy and attention to detail.
- Experience coordinating cross-functionally with teams such as Finance, People, and Operations to achieve results.
