Overview
A company specializing in automated warehousing operations through a warehouse-as-a-service model is seeking a highly organized and detail-oriented Paralegal to support its legal team. This role involves managing administrative and operational aspects of a fast-paced legal department, with a focus on contract management, intellectual property, and corporate governance.
Responsibilities
- Assist in drafting, formatting, and administratively managing complex agreements such as Master Services Agreements (MSAs), Statements of Work (SOWs), and technology licenses.
- Support corporate governance by maintaining corporate records and assisting with preparation and filing of corporate documents.
- Coordinate corporate transactions including mergers, acquisitions, and financing; oversee due diligence data rooms and liaise with external counsel.
- Manage legal billing processes, review outside counsel invoices, and ensure cost-effective use of external legal resources.
- Maintain and update corporate entity records, state filings, and business licenses to ensure compliance and good standing across jurisdictions.
Requirements
- Minimum of 8 years of paralegal experience, ideally combining law firm and in-house roles.
- Bachelor’s degree and/or Paralegal Certificate from an ABA-approved program.
- Experience managing an international trademark portfolio.
- Proven experience supporting Board-level functions and managing corporate entities and filings.
- Proficiency with contract management software and Microsoft Office Suite.
- Excellent writing skills and ability to interact professionally with senior leadership and external stakeholders.
- Self-starter capable of managing multiple high-priority tasks in a fast-paced, joint-venture environment.

- Up to 10% travel may be required.
- A valid driver’s license is necessary for visits to client or customer locations.
