Overview

This role owns the day-to-day legal and compliance function end to end for a transit-focused technology organization. Responsibilities span contracts and NDAs, business license renewals, insurance, and customer-required documentation.

This is an individual contributor position reporting to the CFO. The role is supported by both the CFO and outside legal counsel for items beyond the scope of a paralegal role, with clear judgment needed on what to handle independently versus escalate.

The organization is headquartered in San Francisco, CA. Candidates may be located in most locations across the U.S., as well as Ontario and British Columbia, Canada. Visa sponsorship is not available at this time.

Responsibilities

Contracts and NDAs

  • Review, redline, and process NDAs and keep turnaround times fast enough to avoid slowing deals
  • Perform first-pass review of customer agreements, order forms, vendor contracts, amendments, and renewals against approved positions and a negotiation playbook
  • Flag material deviations (indemnification, limitation of liability, IP ownership, data rights, termination, and assignment) and route them to the CFO
  • Prepare and maintain contract templates, fallback language, and the negotiation playbook
  • Keep the contract repository accurate, complete, and searchable
  • Reply to due diligence requests as needed

Corporate compliance and business licenses

  • Own the full business license portfolio, including applications, renewals, annual reports, and state registrations across every jurisdiction where the organization operates
  • Maintain the compliance calendar (using an outside registered agent service) and build tracking so deadlines are visible well before they become urgent
  • Manage foreign qualifications, registered agent relationships, and good-standing certificates
  • Maintain corporate records and entity documentation, and prepare corporate housekeeping items that come up in financings, audits, and diligence
  • Coordinate registrations tied to selling into new states or new customer types

Insurance and risk

  • Manage the insurance program end to end, including general liability, professional liability and E&O, cyber, property, auto, workers’ compensation, umbrella, and D&O
  • Own the annual renewal cycle, including applications, underwriting questionnaires, and broker coordination
  • Issue and track certificates of insurance, additional insured endorsements, and waivers of subrogation in response to customer and vendor requirements
  • Compare contractual insurance requirements against actual coverage and flag gaps before committing
  • Support claims reporting and coordinate with brokers and carriers

Customer-required documentation

  • Own the documentation customers need to do business, including vendor forms, W-9s, supplier registrations, procurement portals, certificates of insurance, and compliance attestations
  • Assemble and submit responses to customer and prospect requests for corporate, insurance, and compliance documentation
  • Support bid, RFP, and procurement submissions with required legal and administrative attachments, certifications, and signatures
  • Maintain a current library of standard documents so requests can be answered in hours rather than days

Legal operations

  • Build and improve systems, workflows, and trackers to help a one-person legal function scale
  • Document processes so work is repeatable and not dependent on tribal knowledge
  • Provide practical guidance and training to Sales, Finance, and Operations on process, approvals, and what needs review
  • Support adjacent areas as needed, including trademark and IP housekeeping, privacy and data protection requests, and subpoena or records requests (escalating to counsel where appropriate)

Requirements

  • 5+ years of paralegal and contracts experience, ideally at a technology or SaaS company
  • Hands-on contract experience, including reviewing and redlining NDAs and commercial agreements against a playbook
  • Working knowledge of business license and entity compliance across multiple jurisdictions
  • Familiarity with commercial insurance concepts, certificates of insurance, and contractual insurance requirements
  • Exceptional organization and follow-through, including owning the deadline calendar so nothing expires quietly
  • Sound judgment about scope, knowing what can be handled independently versus what requires counsel
  • Clear, direct communication with sales reps, executives, customers, and attorneys alike
  • Ability to operate independently in a role with no template and no predecessor to rely on
  • Paralegal certificate, or a bachelor's degree with equivalent practical experience

Preferred Qualifications

  • Experience with public sector, government agency, or enterprise procurement processes
  • Exposure to data privacy frameworks or security questionnaire and audit support (SOC 2, GDPR, CCPA)
  • Notary commission or willingness to obtain one

Pay Range

  • US Salary Range: $90,000 - $120,000 USD

Salary is one component of total compensation and may include stock options and competitive benefits. Additional details include 401(k)/RRSP matching.
