Overview
A partner organization is seeking a Product & IP Counsel based in the United States. This role operates at the intersection of product innovation, intellectual property strategy, and emerging technology law within a highly technical cybersecurity environment. The counsel will support fast-moving engineering and product teams by advising on legal risks related to AI, data use, integrations, open-source software, and security-sensitive technologies throughout the product lifecycle. The position involves shaping scalable legal frameworks to enable innovation while protecting intellectual property and ensuring compliance. It also includes contributing to patent, trademark, and licensing strategy in collaboration with cross-functional teams across engineering, security, and go-to-market functions.
Responsibilities
- Provide day-to-day legal guidance to product and engineering teams on issues including AI features, data usage, encryption, integrations, export controls, and open-source software.
- Review product designs, architectures, and third-party integrations to identify intellectual property, security, and legal risks, recommending practical mitigation strategies.
- Support open-source software governance, including licensing reviews, compliance processes, and development of internal policies and tooling.
- Contribute to intellectual property portfolio management, including patent program support, invention disclosures, coordination with outside counsel, and trademark clearance and filings.
- Assist in developing and reviewing IP-related commercial terms in vendor, partnership, and customer agreements, serving as a subject matter expert on product and AI clauses.
- Support mergers and acquisitions (M&A) and strategic transactions by conducting IP diligence and assisting with post-acquisition integration of intellectual property and technology assets.
- Develop scalable legal frameworks such as policies, training materials, templates, and workflows to support efficient legal operations.
Requirements
- Minimum 5 years of legal experience, including mandatory law firm experience; in-house experience within a technology company is preferred.
- Juris Doctor (JD) degree and active bar membership in at least one U.S. jurisdiction.
- Strong experience in product counseling, particularly in AI, data usage, privacy, and software integrations.
- Familiarity with intellectual property law, including at least two of the following: patents and prosecution processes, trademarks, or open-source licensing.
- Experience supporting SaaS or cloud-based software products is strongly preferred.
- Exposure to AI/ML technologies, data governance, or emerging technology regulatory issues is a plus.
- Prior involvement in M&A IP diligence or technology transactions is highly desirable.
- Excellent communication skills with the ability to translate complex legal issues into clear, actionable business guidance.
- Strong cross-functional collaboration skills and ability to manage multiple concurrent workstreams in a fast-paced environment.
- Technical background in engineering or software development is considered an advantage.

- Competitive base salary ranging from $137,000 to $259,000, depending on experience and location.
