Overview
A partner organization is seeking a Remote Associate General Counsel to serve as a key legal advisor to senior management and business leaders. This role involves coordinating global legal resources, ensuring compliance and governance, and supporting strategic initiatives. The position focuses on corporate transactions and regulatory matters, playing a vital role in protecting the organization's reputation and advancing its long-term objectives.
Responsibilities
- Support and manage the Legal and Compliance functions to align with business goals.
- Provide advice on legal and corporate governance issues.
- Assist the Chief Legal Officer with Corporate Secretary duties, including meeting coordination and recordkeeping.
- Lead the in-house legal team and collaborate with cross-functional departments.
- Manage corporate transactions and negotiate contracts across various teams.
- Oversee the compliance program and conduct related training.
- Handle litigation management and provide guidance on outside counsel.
- Protect the organization's reputation and deliver global legal support.
- Assist with mergers and acquisitions (M&A) transactions and offer regulatory guidance.
- Coordinate internal investigations concerning policy violations.
- Advise on a broad range of legal matters, including international and intellectual property issues.
Requirements
- Juris Doctor (J.D.) degree from an accredited law school.
- Licensed to practice law in a U.S. state or the District of Columbia.
- Minimum of five years of corporate or transactional legal experience, including in-house experience.
- Expertise in complex corporate transactions; M&A experience preferred.
- Familiarity with regulatory matters and corporate governance.
- Experience managing litigation and compliance issues.
