Overview
A Minnesota-based law firm is seeking a remote 1099 paralegal to support their business entity needs, particularly with a focus on agri-business. This part-time role requires approximately 20 hours per month.
Responsibilities
- Draft formation documents for LLCs, LLPs, LLLPs, and Corporations
- Prepare Operating Agreements and Partnership Agreements
- Draft Meeting Minutes and Resolutions
- File formation documents with state agencies such as the Secretary of State
- Draft Employment Agreements and Independent Contractor Agreements
- Understand registered agent requirements and responsibilities
- Handle amendments or conversions for existing business entities
- Manage business entity compliance, including Annual Reports or Statements of Information
- Work directly with clients to gather necessary information for entity formation
Additional Assets
- Experience using WealthCounsel for business document drafting
- Familiarity with agricultural clients and industry-specific documents
- Understanding of VPN server access for secure file sharing and remote work
Requirements
- Minimum of 3 years paralegal experience handling business entity matters (Minnesota experience preferred but not required)
- Availability during business hours
- Reliable home internet connection and computer
- Prior remote work experience preferred
- Experience with WealthCounsel software preferred but not required
Compensation & Benefits
- Position is compensated as a 1099 independent contractor
