Overview

An established legal team is seeking an experienced Senior Associate Nonprofit Attorney with a strong background in transactional law to provide expert legal advice and ensure regulatory compliance for nonprofit clients. This role requires a California bar license and several years of experience advising nonprofit organizations.

Responsibilities

  • Draft and review contracts and corporate founding documents.
  • Conduct legal and tax research related to exempt organizations and nonprofit tax compliance.
  • Prepare applications for state and federal tax exemption.
  • Ensure ongoing corporate compliance at federal and state levels.
  • Draft policies, procedures, and other legal documents for nonprofit organizations.
  • Provide governance advice and counsel.
  • Conduct preliminary legal strategy sessions to assess client needs and develop effective legal strategies.
  • Collaborate with the legal team to align with client goals and foster positive client relationships.
  • Advise clients at key decision points with clear options.
  • Maintain thorough and accessible notes and correspondence.
  • Participate in training, team-building, and professional development activities.
  • Meet monthly billing requirements and achieve quarterly key performance indicators (KPIs).
  • Analyze legal risks and rights of various company structures and recommend appropriate options.
  • Provide legal advice on corporate governance, policies, procedures, finances, intellectual property, employment, operations, and regulatory compliance.
  • Offer legal counsel during legal proceedings, administrative board reviews, and litigation when necessary.
  • Modify, draft, and review contracts, policies, government and financial reports, and other legal documents as required.

Requirements

Qualifications

  • Juris Doctor (J.D.) from an accredited law school.
  • Licensed to practice law in the state of California and in good standing.
  • 3-6 years of legal experience, preferably with exposure to nonprofit law, business law, or related fields.
  • Strong commitment to the mission-driven sector and passion for social impact.
  • Excellent communication skills and attention to detail.
  • Team-oriented mindset.
  • Proficient with technology and legal research software.
