Overview

A leading technology organization is seeking a Senior Commercial Counsel to join their Legal team in North America. This remote role, based anywhere in the continental U.S., reports to the Director, Associate General Counsel. The position involves providing innovative legal guidance on complex issues related to technology licensing, privacy, compliance, and product development.

Responsibilities

  • Review, draft, and manage a variety of agreements including technology licenses, intellectual property agreements, SaaS/cloud agreements, partnership and vendor agreements, services agreements, statements of work, terms of service, end-user agreements, and data processing agreements (DPAs).
  • Support continuous improvement of standard form agreements and legal processes.
  • Advise cross-functional stakeholders on legal issues and risks related to approval processes, human resources, company policies, intellectual property, GDPR and other privacy and regulatory compliance, business strategy, product development, and daily operations.
  • Respond promptly to legal requests from departments such as Sales, Finance, Products, Business Development, Marketing, and Human Resources.
  • Counsel on evolving EU data protection and privacy regulations and best practices, including GDPR and DPAs.
  • Manage agreements to ensure compliance with company policies and risk tolerance.

Requirements

  • Minimum of eight years of in-house and/or top-tier law firm experience in technology licensing or transactional law.
  • Qualified and in good standing or otherwise authorized to practice law (e.g., registered in-house status) in the state of residence.
  • Proven experience advising clients on structuring domestic and international transactions.
  • Skilled in drafting and negotiating service agreements, sales contracts, licenses, alliance agreements, and intellectual property agreements.
  • Experience with government contracting, compliance, and flow-down requirements.
  • Expertise in GDPR and other domestic and international data protection and privacy regulations.
  • Familiarity with network security, cloud computing, SaaS, business associate agreements, professional services, and privacy law.
  • Juris Doctor (JD) degree or equivalent.

Compensation & Benefits

  • Base salary range: $140,400 - $182,290, plus corporate bonus.
