Overview

A high-growth late-stage startup is seeking a Project Financing Attorney to establish and lead the commercial division within their legal department. This role involves both strategic leadership and hands-on execution during a critical growth phase. The position offers meaningful equity, rapid career advancement, and the opportunity to work on significant legal matters related to innovative infrastructure projects.

Responsibilities

  • Develop and implement preferred legal structures, strategies, and form agreements for the commercial (Projects & Supply Chain) side of the business.
  • Manage the structuring, financing, and delivery of commercial projects, including drafting and negotiating SPV documents, loan agreements, security packages, IP licensing agreements, EPC agreements, and related contracts.
  • Oversee the legal aspects of global procurement, including master services agreements, purchase orders, warehousing agreements, and similar contracts.
  • Collaborate with the sales team to support new project wins, including drafting responses to RFPs.
  • Work with regulatory teams to ensure compliance of the commercial business with applicable laws.
  • Manage outside counsel as needed to support legal matters.

Requirements

  • Minimum of 6 years of experience in Biglaw and/or in-house legal roles.
  • Deep expertise in project financing and the implementation of complex infrastructure projects.
  • Familiarity with commercial procurement processes for complex infrastructure projects.
  • Strong desire and ability to independently build and lead the commercial legal division.
  • Willingness to perform substantive legal work directly to minimize outside counsel expenses.
  • Juris Doctor (JD) degree from an accredited law school.
  • Active license to practice law in the United States and in good standing.

Preferred Qualifications

  • Experience in a Chambers-ranked Projects / Infrastructure practice.
  • Experience working on projects in the Middle East or Asia-Pacific (APAC) regions.
  • Previous startup experience.
  • Experience with first-of-a-kind (FOAK) projects.
  • Knowledge of IP licensing structures and technology-related legal issues.

Location

This is a fully remote position open to candidates located anywhere within the United States. The team primarily operates on West Coast time.
