Overview

A legal team is seeking a skilled Legal Counsel to support various commercial and operational teams including Sales, Marketing, Customer Success, Business Operations, and Go-To-Market. This role reports to the Head of Commercial Legal and involves managing legal matters related to product sales and development.

Responsibilities

  • Draft, review, and negotiate commercial agreements such as service subscription agreements, software licenses, data processing agreements (DPAs), and NDAs.
  • Support customer sales, supplier software and service purchases, and partnerships with startups and public companies.
  • Advise on intellectual property, data privacy, data security, software licensing, and go-to-market legal strategies.
  • Provide input on processes and policies to improve organizational efficiency.
  • Stay current on laws and regulations related to industry, commercial transactions, open source, IP, AI, privacy, employment, and other relevant areas.
  • Develop expertise in intellectual property, data protection, AML/KYC, and regulatory compliance.
  • Operate independently to provide practical legal guidance balancing business objectives and legal risks.

Requirements

  • Minimum 8 years of experience handling diverse commercial transactions including strategic alliances, SaaS, IP and software licensing, product resale and distribution, contractor agreements, outsourcing, and facilities.
  • Experience working with large enterprises, regulated industries (financial services, healthcare), government, and educational institutions.
  • Proficient in negotiating data processing agreements with working knowledge of GDPR, CCPA, and other US state privacy laws.
  • Strong drafting skills producing clear, concise documents and communications understandable to non-lawyers.
  • Confident and effective negotiator capable of leading enterprise negotiations and closing deals efficiently.
  • Juris Doctor (JD) degree required; admission to the bar and in good standing in at least one US state.

  • Leadership skills to build authentic relationships across diverse teams.

Compensation & Benefits

  • Base salary range: $136,000 - $150,000 per year, varying based on experience, skills, and location.
