Overview
A growing legal team is seeking a talented Commercial Counsel to focus on the US Public Sector customer base. This role involves working closely with internal business partners such as Sales and Trust, as well as other Legal team members, to review and respond to requests from current and prospective US public sector customers, including federal, state, and local governments, and educational institutions. This is a remote position liaising directly with Sales teams and customers based in the United States.
Responsibilities
- Join a small team building the legal framework to support the US Public Sector cloud business.
- Provide pragmatic, business-minded guidance on customer requests and contract-related issues for State, Local, Education (SLED) and Federal Civilian Sales, including statutory and regulatory requests.
- Analyze and negotiate reseller sales agreements, including contract vehicles and flowdown terms.
- Review customer requests and collaborate with internal business partners to fulfill them in accordance with company processes and policies; seek and obtain internal approvals for modifications to standard terms or processes as needed.
- Draft contract terms and coordinate with Product, Engineering, and Compliance teams to support the development of government cloud offerings.
- Manage contract negotiations from drafting through execution, including contract generation, redlining, exhibit coordination, approval escalation, record management, and post-execution support and compliance.
Requirements
- Minimum 6 years of experience negotiating public sector SaaS agreements, particularly with SLED and Federal Civilian customers.
- Familiarity with FedRAMP compliance and contracting.
- Knowledge of federal, state, and education procurement processes, including understanding contract vehicles such as GSA, CA SLP, NY OGS, etc.
- Experience developing and maintaining efficient processes for a busy commercial legal team.
- Strong business judgment and excellent communication skills.
- Ability to work collaboratively with various teams and manage competing priorities in a dynamic environment.
- Willingness to take on new areas of responsibility.
- Ability to exercise sound judgment on key decisions in contract administration, including recognizing when escalation is necessary.
- Strong understanding of software technology, cloud services, associated business models, and technology industry trends, especially within the US public sector.
- Ability to translate complex government procurement terminology for less familiar counterparts.
- Creative problem-solving skills to generate solutions and articulate risk-based recommendations.
