Position Type: Senior Corporate Attorney – Emerging Companies & Venture Capital (ECVC)
Location: Fully Remote
Experience Required: 5+ years in relevant subject matter
This role involves serving high-growth startups and modern businesses as a senior corporate attorney with deep experience in venture capital financings and emerging company work. The position offers the opportunity to work directly with founders from company formation through Series A and beyond, structuring companies and acting as outside general counsel for a variety of businesses.
Responsibilities
- Lead venture financings including SAFEs, convertible notes, and preferred stock from term sheet negotiation to closing, including interactions with investor counsel
- Advise on startup structuring such as formations, founder equity splits, intellectual property assignments, holding companies, and capitalization table planning
- Provide guidance on corporate governance and equity matters including restricted stock, option plans, 83(b) elections, and investor onboarding
- Serve as outside general counsel handling day-to-day legal matters, board governance, employment issues, and commercial contracts, balancing legal risk with business strategy
- Adapt and learn new legal areas as client needs evolve
Requirements
- Juris Doctor (JD) from an accredited law school
- Minimum 5 years of corporate legal experience with significant focus on venture capital financings and emerging companies
- Training at a Big Law firm or elite boutique with substantial exposure to venture capital transactions (company-side or investor-side), emerging company work, and/or mergers and acquisitions
- Active attorney license in good standing
- Ability to independently manage matters and client relationships
- Comfortable working in fast-paced early-stage company environments and communicating effectively with founders
- Willingness to advise across a broad range of legal matters and learn new areas
- Business-first mindset: practical, fast-moving, and solution-oriented
Preferred Qualifications
- Experience with mergers and acquisitions, secondary sales, or complex capital events
- Familiarity with modern technology tools and interest in leveraging automation to improve efficiency
- Interest in productizing legal services or experimenting with technology and AI-enabled legal delivery
