Overview
A late-stage private technology company is seeking a Senior Corporate Counsel to provide strategic legal support across a broad range of general corporate matters. This role involves advising on corporate governance, securities law compliance, equity plan development, strategic transactions, tax structuring, and board-related issues. The position offers the opportunity to support the organization through its next phase of growth.
Responsibilities
- Counsel and advise on corporate and securities law matters, including compliance with corporate governance policies and procedures
- Support board of directors and committee activities, including preparation of meeting agendas, materials, and governance policy updates
- Collaborate with the equity team on investor relations, including communications, equity transfer requests, and equity plan management
- Provide legal guidance on strategic transactions such as mergers and acquisitions, partnerships, joint ventures, corporate financing, and tender offers
- Partner with finance and compliance teams to support corporate entity financial and regulatory audits and company filings
- Advise on executive compensation and private equity grant matters
- Manage corporate governance for subsidiary and affiliate entities
- Develop scalable corporate and securities processes to support future company growth
- Collaborate with the legal team on special projects and complex partnership agreements as needed
Requirements
- Juris Doctor (J.D.) degree with an active law license and current membership in a State bar
- Minimum of 6 years combined legal experience in law firm and in-house roles, preferably within a technology company
- Experience supporting late-stage private companies transitioning to public companies
- Strong knowledge of securities law compliance, including SEC reporting and disclosure requirements
- Experience with equity compensation plans and executive compensation
- Excellent judgment, integrity, intellectual curiosity, and innovative problem-solving skills
- Ability to provide practical, solution-oriented legal advice balancing legal risk and business needs
- Proven ability to independently drive accountability and influence outcomes
- Detail-oriented with demonstrated subject matter expertise
Preferred Qualifications
- Experience working in an in-house legal department at a technology company
- Familiarity with corporate governance of subsidiaries and affiliates
Compensation & Benefits
- Salary range: $177,000 - $256,000 USD, with actual compensation based on experience, skills, certifications, and location
