Overview

A leading developer, owner, and operator of utility-scale energy storage projects across North America is seeking a Senior Corporate Counsel. The organization specializes in battery energy storage systems (BESS) and supports the transition to a cleaner, more reliable electric grid. With approximately 2.0 GWh of projects in operation or construction and over 25 GWh in development, the employer is a major player in the U.S. energy storage sector.

The company is headquartered in Newport Beach, California, with employees across multiple U.S. regions. The Senior Corporate Counsel will support the full lifecycle of utility-scale standalone BESS project development primarily in the CAISO, WECC, SPP, and MISO markets.

Responsibilities

  • Lead legal support throughout the BESS project lifecycle, including origination, site control, real estate, permitting, interconnection, commercial contracting, financing, and transition to construction, operations, and asset management
  • Collaborate with internal teams to structure, draft, and negotiate key project agreements such as site control, interconnection, equipment procurement, construction, O&M, LTSA, asset management, consultant, and other commercial contracts
  • Support responses to utility and corporate RFPs and negotiate revenue and commercial agreements including PPAs, tolling arrangements, capacity and energy services agreements, and other offtake structures
  • Advise on procurement, trade, and supply chain matters including equipment supply, import compliance, and project cost, schedule, and execution risks
  • Assist with legal due diligence, transaction management, and closing deliverables for project and portfolio acquisitions, divestitures, preferred equity, and debt financings
  • Manage outside counsel to ensure practical and cost-effective legal advice
  • Monitor market, regulatory, and industry developments affecting BESS project development, commercial contracting, and compliance, and provide practical guidance to business teams

Requirements

  • Minimum 10 years of relevant legal experience in a law firm, sophisticated in-house legal department, or government agency, with substantial experience supporting energy project development and commercial transactions
  • Strong preference for utility-scale BESS experience in CAISO and/or WECC markets
  • Juris Doctor (J.D.) from an accredited U.S. law school and an active law license in good standing (preferably California, New York, or Texas)
  • Proven experience drafting and negotiating offtake, power purchase, capacity, tolling, and other project revenue agreements, with a clear understanding of commercial risk allocation and project bankability
  • Experience negotiating commercial agreements with data center, AI, cloud, hyperscale, or other large commercial and industrial customers is a plus
  • Strong knowledge of permitting, environmental review, land use, siting, interconnection, real estate, procurement, trade, supply chain, and ISO/RTO market issues relevant to utility-scale BESS projects
  • Proficiency with legal technology and contract management tools, including AI-assisted research and drafting tools, with sound judgment in their use
  • Strategic, commercially minded, with strong problem-solving skills and the ability to identify risks and opportunities early
  • Excellent written, verbal, and presentation skills, capable of communicating clearly with executives, deal teams, and technical stakeholders
  • Collaborative, adaptable, and responsive with strong interpersonal and negotiation skills; able to work effectively across cross-functional teams and manage competing demands

Compensation & Benefits

  • Salary: Approximately $215,000 plus up to 30% bonus, depending on skills and experience

Location

This is a remote position within the continental United States (international work is not permitted). Periodic travel to company offices, project sites, or other meeting locations may be required as needed. Candidates based in the San Francisco Bay Area are strongly encouraged to apply.
