Overview
A growing technology company is seeking a Senior Corporate Counsel to join their Legal team. This newly created role reports to the Deputy General Counsel and involves ownership of key corporate workstreams including corporate governance, securities, equity compensation, AI regulatory compliance, and corporate development projects. The position requires a strategic legal thinker who can handle a broad range of responsibilities and contribute directly to the company’s operations and growth.
Responsibilities
- Advise on corporate governance and securities matters, including preparation for Board and committee meetings, corporate resolutions, and compliance with corporate policies and bylaws.
- Counsel Total Rewards and Finance teams on employee equity matters and administration of equity compensation programs.
- Monitor and provide guidance on AI legal and regulatory developments, including the EU AI Act and emerging U.S. state regulations, as they relate to internal operations and products.
- Develop and maintain a corporate compliance program, including policies, playbooks, and training materials that scale with the business.
- Support mergers and acquisitions, strategic partnerships, and other corporate development activities through due diligence, negotiation, and post-closing integration.
- Collaborate with Legal and cross-functional teams on corporate and compliance matters, independently managing complex workstreams.
- Undertake additional projects and responsibilities as needed.
Requirements
- Juris Doctor (JD) from an accredited U.S. law school and active bar membership.
- Minimum of 6 years of relevant legal experience, ideally combining top-tier law firm and in-house experience at a high-growth technology, SaaS, or fast-moving company.
- Strong foundation as a corporate generalist with deep knowledge of corporate governance, securities law, and M&A transactions.
- Experience advising on equity compensation programs and working with HR or Total Rewards teams.
- Familiarity with AI governance frameworks and the evolving AI regulatory landscape.
- Proven ability to provide strategic, practical, and solution-focused legal advice to diverse stakeholders.
- Ability to operate independently and take ownership of complex matters.
- Sound judgment in ambiguous situations, intellectual curiosity, and ability to quickly learn new areas of law.
- Excellent written and verbal communication skills; highly organized and capable of managing multiple workstreams simultaneously.
- Experience with AI tools such as Glean, Claude, Gemini, and AI GC.
- Must be currently authorized to work full-time in the United States.

Compensation & Benefits
- National pay range: $163,800 - $215,000, commensurate with experience and qualifications.
