Overview
This role supports the organization’s Legal, Compliance, and Public Affairs function within the corporate affairs area. The position is focused on advising on a diversified capitalization strategy and capital markets transactions, working closely with capital markets and bank partnerships business teams.
The ideal candidate has strong legal experience in financing and corporate transactions, with a focus on capital markets and finance.
Responsibilities
- Advise and support the capital markets team in building a network of capital sources and strategies, including capital markets international expansion.
- Advise and support the bank partnerships team in building a network of originating and card issuing partner banks.
- Independently lead financing transactions and bank partner initiatives from a legal perspective, including strategy discussions, deal execution, and maintenance beyond closing.
- Draft, review, and negotiate US and international capital markets deal documents, including:
- Credit and security agreements
- Loan sale agreements
- Indentures
- Officer certificates
- Board and shareholder resolutions
- Side letters
- Apply expert knowledge of lending and securities laws and regulations relevant to capital markets transactions.
- Communicate legal advice clearly, concisely, and in a timely manner.
- Serve as a primary legal point of contact for capital markets and/or bank partnership matters, coordinating with cross-functional teams and contributing thought leadership on special projects.
Requirements
- 7+ years of relevant law-firm experience; additional in-house experience is preferred (particularly from a high-growth fintech start-up).
- JD degree from a well-regarded law school.
- Membership in good standing in a US state bar.
- Prior legal experience in structured and/or debt finance, including (as applicable):
- Term, revolving, and asset-based lending
- Warehouse and asset-backed financing
- Loan sales
- Securitizations
- Creative forms of funding
- Outstanding integrity and work ethic.
- Excellent business judgment and interpersonal skills to facilitate negotiations with external and internal customers.
- Strong interpersonal and problem-solving skills; meticulous attention to detail; maturity; strong proactivity and attitude.
- Proven experience as a key contributing member of a high-performing team.
- Self-motivation and ability to take ownership of projects.
- Ability to work efficiently both independently and as part of a team.
Compensation & Benefits
- Base pay grade: O
- Equity grade: 8
- Employees new to the organization typically come in at the start of the pay range.
- USA base pay range (CA, WA, NY, NJ, CT) per year: $220,000 - $280,000
- USA base pay range (all other U.S. states) per year: $195,000 - $255,000

Location
Remote-first with flexibility built in. Most roles can be done from almost anywhere within the country of employment. Some positions may occasionally require in-person work at an office, and a few are office-based due to the nature of the work. All new hires will be invited to attend an in-person onboarding experience.
