Overview

The Legal, Compliance, and Public Affairs team supports the organization as it scales and innovates by combining legal, compliance, and policy expertise to guide growth, shape products, and build trust with consumers, merchants, and key partners.

This role is for a Senior Counsel, Capital Markets within the Corporate Affairs function. The position focuses on leading legal efforts to build and advise on a diversified capitalization strategy.

Responsibilities

  • Advise and support the capital markets team in building a network of capital sources and strategies, including capital markets international expansion.
  • Advise and support the bank partnerships team in building a network of originating and card issuing partner banks.
  • Independently lead financing transactions and bank partner initiatives from a legal perspective, from strategy discussions through deal execution and maintenance beyond closing.
  • Draft, review, and negotiate U.S. and international capital markets deal documents, including:
    • Credit and security agreements
    • Loan sale agreements
    • Indentures
    • Officer certificates
    • Board and shareholder resolutions
    • Side letters
  • Apply expert knowledge of lending and securities laws and regulations relating to capital markets transactions.
  • Communicate legal advice clearly, concisely, and in a timely manner.
  • Serve as a key legal point of contact for cross-functional capital markets and/or bank partnership initiatives, providing thought leadership on special projects.

Requirements

  • 7+ years of relevant law-firm experience; additional in-house experience preferred (particularly from a high-growth fintech start-up).
  • JD from a well-regarded law school and membership (in good standing) in a US state bar.
  • Prior legal experience in structured and/or debt finance, including:
    • Term, revolving, and asset-based lending
    • Warehouse and asset-backed financing
    • Loan sales
    • Securitizations
    • Creative forms of funding
  • Outstanding integrity and work ethic.
  • Excellent business judgment and interpersonal skills to facilitate negotiations with external and internal customers.
  • Strong problem-solving abilities, meticulous attention to detail, maturity, business judgment, proactivity, and a strong attitude.
  • Proven experience as a key contributing member of a high-performing team.
  • Self-motivation and ability to take ownership of projects.
  • Ability to work efficiently both independently and as part of a team.

Preferred Qualifications

  • Some additional in-house experience (particularly if from a high-growth fintech start-up).

Compensation & Benefits

  • Base pay grade: O
  • Equity grade: 8
  • Employees new to the organization typically come in at the start of the pay range.

USA base pay range per year:

  • CA, WA, NY, NJ, CT: $220,000 - $280,000
  • All other U.S. states: $195,000 - $255,000

Location

  • Remote-first with flexibility built in. Most roles can be done from almost anywhere within the country of employment.
  • Some positions may occasionally require in-person work at an office; a few are office-based due to the nature of the work.
