Overview
This role involves joining the Legal, Compliance, and Public Affairs team to support capital markets and corporate affairs initiatives. The position is focused on leading and advising on efforts to build a diversified capitalization strategy, partnering closely with capital markets and bank partnerships business teams.
Responsibilities
- Advise and support the capital markets team in building a network of capital sources and strategies, including capital markets international expansion
- Advise and support the bank partnerships team in building a network of originating and card issuing partner banks
- Independently lead financing transactions and bank partner initiatives from a legal perspective, from strategy discussions through deal execution and ongoing maintenance beyond closing
- Draft, review, and negotiate US and international capital markets deal documents, including:
- Credit and security agreements
- Loan sale agreements
- Indentures
- Officer certificates
- Board and shareholder resolutions
- Side letters
- Apply expert knowledge of lending and securities laws and regulations relevant to capital markets transactions
- Communicate legal advice clearly, concisely, and on a timely basis
- Serve as a legal main point of contact for capital markets and/or bank partnership cross-functional teams, providing thought leadership on special projects
Requirements
- 7+ years of relevant law-firm experience; additional in-house experience preferred (particularly from a high-growth fintech start-up)
- JD degree from a well-regarded law school and membership (in good standing) in a US state bar
- Prior experience in structured and/or debt finance, including:
- Term, revolving, and asset-based lending
- Warehouse and asset-backed financing
- Loan sales
- Securitizations
- Creative forms of funding
- Strong integrity and work ethic
- Excellent business judgment and interpersonal skills to facilitate negotiations with external and internal customers
- Strong interpersonal and problem-solving skills with meticulous attention to detail
- Maturity, an eye for business, and proactivity
- Proven experience as a key contributing member of a high-performing team
- Self-motivation and ability to take ownership of projects
- Ability to work efficiently both independently and as part of a team

Compensation & Benefits
- Base Pay Grade: O
- Equity Grade: 8
- Employees new to the organization typically come in at the start of the pay range.
- Base pay is part of a total compensation package that may include equity rewards, monthly stipends for health, wellness and tech spending, and benefits (including 100% subsidized medical coverage, dental and vision for you and your dependents.)
USA base pay range
- (CA, WA, NY, NJ, CT) per year: $220,000 - $280,000
- (All other U.S. states) per year: $195,000 - $255,000
