Overview

This role is part of the Legal, Compliance, and Public Affairs team within the organization, supporting growth, product development, and trust across the ecosystem. The team combines legal, compliance, and policy expertise to guide capital markets and finance initiatives.

The organization is seeking a Senior Counsel, Capital Markets to support the Corporate Affairs function. This lawyer will lead and advise on efforts to build a diversified capitalization strategy and will work closely with internal capital markets and bank partnerships business teams.

Responsibilities

  • Advise and support the capital markets team in developing the organization’s network of capital sources and strategies, including capital markets international expansion.
  • Advise and support the bank partnerships team in building the organization’s network of originating and card issuing partner banks.
  • Independently lead financing transactions and/or bank partner initiatives from a legal perspective, including strategy discussions, deal execution, and matters that continue beyond closing.
  • Draft, review, and negotiate U.S. and international capital markets deal documents, including:
    • credit and security agreements
    • loan sale agreements
    • indentures
    • officer certificates
    • board and shareholder resolutions
    • side letters
  • Apply expert knowledge of lending and securities laws and regulations applicable to capital markets transactions.
  • Communicate legal advice clearly, concisely, and in a timely manner.
  • Serve as a primary legal point of contact for capital markets and/or bank partnership initiatives, coordinating with cross-functional teams and contributing thought leadership on special projects.

Requirements

  • 7+ years of relevant law-firm experience; preference for some additional in-house experience (particularly from a high-growth fintech start-up).
  • JD degree from a well-regarded law school.
  • Membership (in good standing) in a U.S. state bar.
  • Prior legal experience in structured and/or debt finance, including (as applicable):
    • term, revolving, and asset-based lending
    • warehouse and asset-backed financing
    • loan sales
    • securitizations
    • creative forms of funding
  • Demonstrated integrity and strong work ethic.
  • Excellent business judgment and interpersonal skills to facilitate negotiations with external and internal customers.
  • Strong interpersonal and problem-solving skills, meticulous attention to detail, maturity, and proactivity.
  • Proven experience contributing to a high-performing team.
  • Self-motivation and ability to take ownership of projects.
  • Ability to work efficiently both independently and as part of a team.

Preferred Qualifications

  • Additional in-house experience (particularly from a high-growth fintech start-up).

Compensation & Benefits

Base Pay Grade: O
Equity Grade: 8

Employees new to the organization typically come in at the start of the pay range.

Base pay is part of a total compensation package that may include equity rewards, monthly stipends for health, wellness and tech spending, and benefits including 100% subsidized medical coverage, plus dental and vision for you and your dependents.

USA base pay range (CA, WA, NY, NJ, CT) per year: $220,000 - $280,000
USA base pay range (all other U.S. states) per year: $195,000 - $255,000

Location

Remote-first with flexibility built in. Most roles can be performed from almost anywhere within the country of employment. Some roles may occasionally require in-person work at an office, while a few are office-based due to the nature of the work. All new hires will be invited to attend an in-person onboarding experience.
