Overview
The Legal, Compliance, and Public Affairs team is seeking a Senior Counsel, Capital Markets to join its Corporate Affairs function. This role focuses on advising and leading efforts to build a diversified capitalization strategy and support capital markets and bank partnerships initiatives.
Responsibilities
- Advise and support the capital markets team in building a network of capital sources and strategies, including capital markets international expansion
- Advise and support the bank partnerships team in building a network of originating and card issuing partner banks
- Independently lead financing transactions and bank partner initiatives from a legal perspective, from strategy discussions through deal execution and maintenance beyond closing
- Draft, review, and negotiate US and international capital markets deal documents, including:
- credit and security agreements
- loan sale agreements
- indentures
- officer certificates
- board and shareholder resolutions
- side letters
- Apply expert knowledge of lending and securities laws and regulations relating to capital markets transactions
- Communicate legal advice clearly, concisely, and in a timely manner
- Serve as a legal main point of contact for cross-functional teams supporting capital markets and/or bank partnerships, providing thought leadership on special projects
Requirements
- 7+ years of relevant law-firm experience; some in-house experience preferred (particularly from a high-growth fintech start-up)
- JD degree from a well-regarded law school
- Membership in good standing in a US state bar
- Prior legal experience in structured and/or debt finance, including (as applicable):
- term, revolving, and asset-based lending
- warehouse and asset-backed financing
- loan sales
- securitizations
- creative forms of funding
- Outstanding integrity and work ethic
- Excellent business judgment and interpersonal skills for negotiations with external and internal customers
- Strong interpersonal and problem-solving skills, meticulous attention to detail, maturity, an eye for business, proactivity, and excellent attitude
- Proven experience as a key contributing member of a high-performing team
- Self-motivation and ability to take ownership of projects
- Ability to work efficiently both solo and as part of a team
Preferred Qualifications
- Additional in-house experience, particularly from a high-growth fintech start-up
Compensation & Benefits
- Base pay grade: O
- Equity grade: 8
- Employees new to the organization typically come in at the start of the pay range.
USA base pay range per year:
- (CA, WA, NY, NJ, CT): $220,000 - $280,000
- (all other U.S. states): $195,000 - $255,000
Base pay is part of a total compensation package that may include:

Location & Work Setup
- Remote-first with flexibility built in: Most roles can be done from almost anywhere within the country of employment.
- Some positions may occasionally require in-person work at an office; a few are office-based due to the nature of the work.
- All new hires will be invited to attend an in-person onboarding experience.

- Reports to the Director, Capital Markets Counsel and works closely with capital markets and bank partnerships business teams.
