Overview

This role is within the Legal, Compliance, and Public Affairs team, supporting growth and product innovation through legal and policy expertise. The position is for a Senior Counsel, Capital Markets within the organization’s Corporate Affairs function.

This attorney will lead and advise on efforts to build a diversified capitalization strategy and will work closely with capital markets and bank partnerships business teams.

Responsibilities

  • Advise and support the capital markets team in building out a network of capital sources and strategies, including capital markets international expansion.
  • Advise and support the bank partnerships team in building out a network of originating and card issuing partner banks.
  • Independently lead financing transactions and bank partner initiatives from a legal perspective, including strategy discussions through deal execution and legal maintenance beyond closing.
  • Draft, review, and negotiate US and international capital markets deal documents, including:
    • credit and security agreements
    • loan sale agreements
    • indentures
    • officer certificates
    • board and shareholder resolutions
    • side letters
  • Apply expert knowledge of lending and securities laws and regulations related to capital markets transactions.
  • Communicate legal advice clearly, concisely, and in a timely manner.
  • Serve as a legal main point of contact for cross-functional teams on capital markets and/or bank partnerships efforts, providing thought leadership on other special projects.

Requirements

  • 7+ years of relevant law-firm experience; some additional in-house experience is preferred (particularly from a high-growth fintech start-up).
  • JD from a well-regarded law school and membership (in good standing) in a US state bar.
  • Prior legal experience in structured and/or debt finance, including:
    • term, revolving, and asset-based lending
    • warehouse and asset-backed financing
    • loan sales
    • securitizations
    • creative forms of funding
  • Strong integrity and work ethic.
  • Excellent business judgment and interpersonal skills to facilitate negotiations with internal and external stakeholders.
  • Strong interpersonal and problem-solving skills, meticulous attention to detail, maturity, business-mindedness, proactivity, and a strong attitude.
  • Proven experience as a key contributing member of a high-performing team.
  • Self-motivation and ability to take ownership of projects.
  • Ability to work efficiently both solo and as part of a team.

Preferred Qualifications

  • Additional in-house experience, particularly from a high-growth fintech start-up.

Compensation & Benefits

Base Pay Grade: O

Equity Grade: 8

Employees new to the organization typically come in at the start of the pay range.

The organization uses a simple and transparent pay structure based on factors including location, experience, and job-related skills.

Base pay is part of a total compensation package that may include equity rewards, monthly stipends for health, wellness and tech spending, and benefits (including 100% subsidized medical coverage, dental and vision for you and your dependents).

USA base pay range (CA, WA, NY, NJ, CT) per year: $220,000 - $280,000

USA base pay range (all other U.S. states) per year: $195,000 - $255,000

Location

Remote-first with flexibility built in. Most roles can be done from almost anywhere within the country of employment. Some positions may occasionally require in-person work at an office, and a few are office-based due to the nature of the work. All new hires will be invited to attend an in-person onboarding experience.
