Overview
This role supports the organization’s Corporate Affairs function within the Legal, Compliance, and Public Affairs team. The position focuses on advising and leading efforts to build a diversified capitalization strategy, including capital markets expansion and initiatives with bank partners.
Responsibilities
- Advise and support the capital markets team in building a network of capital sources and strategies, including capital markets international expansion.
- Advise and support the bank partnerships team in building a network of originating and card issuing partner banks.
- Independently lead financing transactions and bank partner initiatives from a legal perspective, from strategy discussions through deal execution and ongoing maintenance beyond closing.
- Draft, review, and negotiate U.S. and international capital markets deal documents, including:
- Credit and security agreements
- Loan sale agreements
- Indentures
- Officer certificates
- Board and shareholder resolutions
- Side letters
- Demonstrate expert knowledge of lending and securities laws and regulations applicable to capital markets transactions.
- Communicate legal advice clearly, concisely, and in a timely manner.
- Serve as a legal main point of contact for cross-functional teams supporting capital markets and/or bank partnership efforts, including providing thought leadership on special projects.
Requirements
- 7+ years of relevant law-firm experience, with preference for additional in-house experience (particularly from a high-growth fintech start-up).
- JD degree from a well-regarded law school and membership in good standing in a U.S. state bar.
- Prior legal experience in structured and/or debt finance, including:
- Term, revolving, and asset-based lending
- Warehouse and asset-backed financing
- Loan sales
- Securitizations
- Creative forms of funding
- Outstanding integrity and work ethic.
- Excellent business judgment and interpersonal skills to facilitate negotiations with external and internal customers.
- Strong interpersonal and problem-solving skills, meticulous attention to detail, maturity, an eye for business, proactivity, and an excellent attitude.
- Proven experience as a key contributing member of a high performing team.
- Self-motivation and ability to take ownership of projects.
- Ability to work efficiently both independently and as part of a team.
Compensation & Benefits
- Base Pay Grade: O
- Equity Grade: 8
New employees typically start at the beginning of the pay range.
Base pay range (per year):
- USA (CA, WA, NY, NJ, CT): $220,000 - $280,000
- USA (all other U.S. states): $195,000 - $255,000
Base pay is part of a total compensation package that may include:

Location
Remote-first with flexibility built in. Most roles can be done from almost anywhere within the country of employment. Some positions may occasionally require in-person work at an office, while a few are office-based.
