Overview
The Legal, Compliance, and Public Affairs team supports the organization as it scales, innovates, and delivers products for consumers, merchants, and key partners. This role sits within the legal team and supports corporate affairs efforts tied to capital markets.
This position is for a Senior Counsel, Capital Markets. The attorney will lead and advise on efforts to build a diversified capitalization strategy, working closely with capital markets and bank partnerships business teams. The role reports to the Director, Capital Markets Counsel.
Responsibilities
- Advise and support the capital markets team in building a network of capital sources and strategies, including capital markets international expansion
- Advise and support the bank partnerships team in building a network of originating and card issuing partner banks
- Independently lead financing transactions and/or bank partner initiatives from a legal perspective, from strategy discussions through deal execution and post-closing maintenance
- Draft, review, and negotiate U.S. and international capital markets deal documents, including:
- Credit and security agreements
- Loan sale agreements
- Indentures
- Officer certificates
- Board and shareholder resolutions
- Side letters
- Apply expert knowledge of lending and securities laws and regulations relating to capital markets transactions
- Communicate legal advice clearly, concisely, and in a timely manner
- Serve as a legal main point of contact for cross-functional teams for capital markets and/or bank partnerships, providing thought leadership on special projects
Requirements
- 7+ years of relevant law-firm experience; some additional in-house experience is preferred (particularly from a high-growth fintech start-up)
- JD from a well-regarded law school
- Membership (in good standing) in a U.S. state bar
- Prior legal experience in structured and/or debt finance, including combinations of:
- Term, revolving, and asset-based lending
- Warehouse and asset-backed financing
- Loan sales
- Securitizations
- Creative forms of funding
- Outstanding integrity and work ethic
- Excellent business judgment and interpersonal skills for negotiations with external and internal stakeholders
- Strong interpersonal and problem-solving skills, meticulous attention to detail, maturity, strong business judgment, proactivity, and an excellent attitude
- Proven ability as a key contributing member of a high-performing team
- Self-motivation and ability to take ownership of projects
- Ability to work efficiently both independently and as part of a team
Compensation & Benefits
- Base Pay Grade: O
- Equity Grade: 8
- Employees new to the organization typically come in at the start of the pay range.
Base pay range (per year)
- USA base pay range (CA, WA, NY, NJ, CT): $220,000 - $280,000
- USA base pay range (all other U.S. states): $195,000 - $255,000
Base pay is part of a total compensation package that may include:

Location & Work Arrangement
Remote-first with flexibility built in. Most roles can be done from almost anywhere within the country of employment. Some positions may occasionally require in-person work at an office, and a few may be office-based due to the nature of the work. All new hires will be invited to attend an in-person onboarding experience.
