Overview
This role is for a Senior Counsel, Capital Markets position within the Legal, Compliance, and Public Affairs team. The position supports efforts to build a diversified capitalization strategy, advising on capital markets and bank partnership initiatives from legal perspective through transaction execution and post-closing maintenance.
The Senior Counsel reports to the Director, Capital Markets Counsel and works closely with capital markets and bank partnerships business teams.
Responsibilities
- Advise and support the capital markets team in building a network of capital sources and strategies, including capital markets international expansion.
- Advise and support the bank partnerships team in building a network of originating and card issuing partner banks.
- Independently lead financing transactions and bank partner initiatives from a legal perspective, from strategy discussions through deal execution and maintenance beyond closing.
- Draft, review, and negotiate U.S. and international capital markets deal documents, including:
- Credit and security agreements
- Loan sale agreements
- Indentures
- Officer certificates
- Board and shareholder resolutions
- Side letters
- Apply expert knowledge of lending and securities laws and regulations applicable to capital markets transactions.
- Communicate legal advice clearly, concisely, and in a timely manner.
- Coordinate with cross-functional teams as a key legal point of contact for capital markets and/or bank partnerships, providing thought leadership on special projects.
Requirements
- 7+ years of relevant law-firm experience; additional in-house experience is preferred (particularly if from a high-growth fintech start-up).
- JD from a well-regarded law school and membership in good standing in a U.S. state bar.
- Prior legal experience in structured and/or debt finance, including combinations of:
- Term, revolving, and asset-based lending
- Warehouse and asset-backed financing
- Loan sales
- Securitizations
- Creative forms of funding
- Strong integrity and work ethic.
- Excellent business judgment and interpersonal skills to facilitate negotiations with external and internal customers.
- Strong problem-solving skills and meticulous attention to detail.
- Demonstrated maturity, proactivity, and a constructive attitude.
- Proven experience as a key contributing member of a high-performing team.
- Self-motivation and ability to take ownership of projects.
- Ability to work efficiently both independently and as part of a team.
Preferred Qualifications
- Some in-house experience (particularly from a high-growth fintech start-up).
Compensation & Benefits
Base Pay Grade: O
Equity Grade: 8
Employees new to the organization typically come in at the start of the pay range.
Base pay is part of a total compensation package that may include:
- Equity rewards

USA base pay range (CA, WA, NY, NJ, CT) per year: $220,000 - $280,000
USA base pay range (all other U.S. states) per year: $195,000 - $255,000

Remote-first with flexibility built in.
