Overview
This role is part of the Legal, Compliance, and Public Affairs team and supports the organization’s Corporate Affairs function. The organization is seeking a Senior Counsel, Capital Markets to help build and execute a diversified capitalization strategy.
Responsibilities
- Advise and support the capital markets team in building out the organization’s network of capital sources and strategies, including capital markets international expansion
- Advise and support the bank partnerships team in building out the organization’s network of originating and card issuing partner banks
- Independently lead financing transactions or bank partner initiatives from a legal perspective, including strategy discussions, deal execution, and legal maintenance beyond closing
- Draft, review, and negotiate US and international capital markets deal documents, including:
- credit and security agreements
- loan sale agreements
- indentures
- officer certificates
- board and shareholder resolutions
- side letters
- Demonstrate expert knowledge of lending and securities laws and regulations relating to capital markets transactions
- Communicate legal advice clearly, concisely, and in a timely manner
- Serve as a legal main point of contact for cross-functional teams for capital markets and/or bank partnership matters, providing thought leadership on other special projects
Requirements
- 7+ years of relevant law-firm experience; additional in-house experience preferred (particularly from a high-growth fintech start-up)
- JD degree from a well-regarded law school
- Membership in good standing in a US state bar
- Prior legal experience in structured and/or debt finance, including:
- term, revolving, and asset-based lending
- warehouse and asset-backed financing
- loan sales
- securitizations
- creative forms of funding
- Outstanding integrity and work ethic
- Excellent business judgment and interpersonal skills to facilitate negotiations with external and internal customers
- Strong interpersonal and problem-solving skills; meticulous attention to detail; maturity; an eye for business; proactivity; and an excellent attitude
- Proven experience as a key contributing member of a high-performing team
- Self-motivation and ability to take ownership of projects
- Natural self-starter who can work efficiently both solo and as part of a team
Compensation & Benefits
- Base Pay Grade: O
- Equity Grade: 8
- Employees new to the organization typically come in at the start of the pay range.
USA base pay range (CA, WA, NY, NJ, CT) per year: $220,000 - $280,000
USA base pay range (all other U.S. states) per year: $195,000 - $255,000

Location
- Remote-first with flexibility built in. Most roles can be done from within the country of employment.
- Some positions may occasionally require in-person work at an organization office, and a few are office-based due to the nature of the work.
