Overview
The Legal, Compliance, and Public Affairs team is seeking a Senior Counsel, Capital Markets to support corporate affairs and capital markets growth. This role involves leading and advising on efforts to build a diversified capitalization strategy, with responsibilities spanning U.S. and international capital markets transactions and bank partnership initiatives.
Responsibilities
- Advise and support the capital markets team in building a network of capital sources and strategies, including capital markets international expansion.
- Advise and support the bank partnerships team in building a network of originating and card issuing partner banks.
- Independently lead financing transactions and bank partner initiatives from a legal perspective, including strategy discussions, deal execution, and deal maintenance beyond closing.
- Draft, review, and negotiate U.S. and international capital markets deal documents, including:
- Credit and security agreements
- Loan sale agreements
- Indentures
- Officer certificates
- Board and shareholder resolutions
- Side letters
- Apply expert knowledge of lending and securities laws and regulations relevant to capital markets transactions.
- Communicate legal advice clearly, concisely, and in a timely manner.
- Serve as a capital markets and/or bank partnership legal point of contact for cross-functional teams, providing thought leadership on special projects.
Requirements
- 7+ years of relevant law-firm experience; additional in-house experience is preferred (particularly from a high-growth fintech start-up).
- JD degree from a well-regarded law school.
- Membership in good standing in a US state bar.
- Prior legal experience in structured and/or debt finance, including:
- Term, revolving, and asset-based lending
- Warehouse and asset-backed financing
- Loan sales
- Securitizations
- Creative forms of funding
- Strong integrity and work ethic.
- Excellent business judgment and interpersonal skills to facilitate negotiations with external and internal stakeholders.
- Strong interpersonal and problem-solving skills, meticulous attention to detail, maturity, a business-minded approach, and proactivity.
- Proven experience as a key contributing member of a high-performing team.
- Self-motivation and ability to take ownership of projects.
- Ability to work efficiently both independently and collaboratively.
Preferred Qualifications
- Some additional in-house experience (particularly from a high-growth fintech start-up).
Compensation & Benefits
- Base Pay Grade: O
- Equity Grade: 8
- Base pay is part of a total compensation package that may include equity rewards, monthly stipends for health, wellness and tech spending, and benefits including 100% subsidized medical coverage plus dental and vision for you and your dependents.
- Employees new to the organization typically come in at the start of the pay range.
USA base pay range (CA, WA, NY, NJ, CT) per year: $220,000 - $280,000
USA base pay range (all other U.S. states) per year: $195,000 - $255,000
Location
- Remote-first with flexibility built in: Most roles can be done from almost anywhere within the country of employment.
- Some positions may occasionally require in-person work at an office, and a few are office-based due to the nature of the work.
- All new hires will be invited to attend an in-person onboarding experience.
