Overview
A growing commercial legal team is seeking a Senior Counsel, Commercial to support the Go-to-Market Sales team. This role involves partnering with the enterprise sales team to manage the full life-cycle negotiation of complex enterprise sales deals. The legal team is known for providing practical and sound legal advice, building trust across the business.
Responsibilities
- Review, negotiate, draft, and manage a wide range of legal agreements.
- Advise internal clients on contract interpretation and negotiation.
- Ensure compliance with company policies, applicable laws, and regulations while protecting the organization from risk.
- Understand the perspectives of customers and internal clients to solve problems effectively.
- Prioritize and manage workload to address the most critical matters efficiently.
Requirements
- Juris Doctor (J.D.) degree with strong academic credentials.
- Membership in a local State Bar or eligibility to register as Registered In-House Counsel.
- Minimum of 6 years of commercial transactions experience, including at least 4 years negotiating complex technology transactions such as SaaS agreements.
- Experience supporting a large sales organization.
- Ability to structure, draft, and negotiate a high volume and broad range of commercial contracts, including Master Services Agreements, Professional Services Agreements, and Non-Disclosure Agreements.
- Proven ability to provide entrepreneurial, pragmatic, and business-oriented legal advice balancing risk and reward.
- Strong communication skills, capable of explaining complex legal concepts to non-lawyers.
- Ability to manage a heavy workflow, set expectations, and deliver results efficiently.

Compensation & Benefits
- Salary range: CAD $145,840 - CAD $182,300.
- Target bonus percentage: 15% (when applicable).
- Compensation will be based on skills, experience, and geographic location.
