Overview
This senior counsel position is part of a corporate legal team focusing on securities reporting and other corporate matters. The role involves providing legal advice, counsel, and related services to the corporate function in all aspects of securities and corporate work.
Responsibilities
- Assist in preparing SEC filings, including Forms 10-K, 10-Q, 8-K, Proxy statements, and other securities law matters
- Provide legal advice on disclosure matters such as earnings releases, strategic transaction disclosures, and investor/media communications to ensure regulatory compliance
- Support corporate governance activities, including Annual Shareholder Meeting preparations, Director Independence and Related Person Transaction analyses, and drafting or reviewing resolutions and internal approvals
- Advise on executive compensation and benefits plans, including related disclosure implications
- Conduct legal research and stay current on applicable securities laws and regulations
- Assist with corporate transactions as needed, including internal reorganizations, credit facilities, capital markets transactions, and asset purchases or sales
Qualifications
- Juris Doctorate degree with a record of high academic achievement
- Licensed to practice law in Ohio or in the jurisdiction of residence and work
- 4-7 years of experience in a nationally recognized law firm or comparable in-house experience preferred
- Experience with public company reporting, including Forms 10-K, 10-Q, and 8-K preferred
- Experience with executive compensation and related disclosure matters preferred
- Excellent written and oral communication skills
- Ability to work independently with appropriate urgency in a fast-paced environment
- Strong business acumen with the ability to provide strategic, commercially focused advice
- High personal ethics

Compensation & Benefits
- Anticipated salary range: $123,400 - $176,100
