Overview

This role is a senior legal counsel position within a Fortune 100 insurance and financial services organization, supporting complex legal matters related to alternative risk financing, reinsurance transactions, insurance claims, and enterprise risk management. The position provides specialized legal and regulatory counsel across Property & Casualty and Financial Services businesses.

Responsibilities

Alternative Risk Financing and Reinsurance Transactions

  • Lead and support complex reinsurance transactions including structuring, drafting, reviewing, and negotiating reinsurance treaties, facultative arrangements, fronting agreements, trust agreements, and ancillary documents.
  • Advise on alternative risk financing solutions such as captives, structured programs, insurance-linked securities, catastrophe bonds, and other bespoke risk transfer mechanisms.
  • Provide guidance on transactional and operational issues involving reinsurance intermediaries, program administrators, general agents, third-party administrators, trusts, collateral arrangements, and multinational insurance programs.
  • Counsel on legal, regulatory, and commercial considerations impacting reinsurance transactions including licensing, collateral, credit for reinsurance, tax, intermediary relationships, and captive insurer governance.
  • Navigate cross-border and offshore regulatory frameworks, collaborating with tax, privacy, sanctions, and specialty legal teams.

Corporate Risk Management and Regulatory Advisory

  • Provide legal counsel on a broad range of property and casualty insurance products including general liability, auto liability, property, workers’ compensation, excess and surplus lines, and management specialty lines.
  • Draft and negotiate manuscript policy provisions and endorsements to address unique risk exposures.
  • Identify, assess, and mitigate legal and enterprise risk by partnering with business, risk, finance, and compliance stakeholders.
  • Advise on corporate governance, regulatory, compliance, and risk management considerations related to captive insurance programs.

Insurance and Reinsurance Claims, Dispute Resolution, and Audit Support

  • Advise on complex coverage, recoveries, and dispute matters including interpretation of policy and treaty language.
  • Lead management of insurance and reinsurance claims, including drafting demand and notice letters, developing recovery strategies, and overseeing outside counsel in arbitrations, mediations, and litigation.
  • Evaluate material legal and claims matters for financial disclosure and coordinate audit response letters with finance and external counsel.
  • Review and negotiate engagement letters and agreements with external auditors.

Additional Responsibilities

  • Provide expert legal advice on highly complex matters to senior leaders.
  • Identify and assess potential legal risks and develop risk management recommendations.
  • Lead complex, strategic, or sensitive legal matters independently.
  • Keep senior leaders informed of relevant case law and legislation.
  • Manage outside counsel budgets and hiring.
  • Hire, develop, and coach legal team members.

Requirements

  • Juris Doctorate from an American Bar Association-accredited law school.
  • Full licensure to practice law in accordance with organizational policy, in good standing, and compliant with continuing legal education requirements.
  • Typically 15 or more years of relevant legal experience, with significant expertise in insurance law, reinsurance, risk management, and complex legal practices.
  • Strong verbal and written communication skills.
  • Ability to interpret statutes, regulations, insurance policies, and contracts.
  • Proven decision-making and project leadership skills.
  • Experience leading negotiations on complex and strategic matters.
  • Supervisory and team leadership experience preferred.

Preferred Qualifications

  • Experience with cross-border and offshore regulatory frameworks.
  • Knowledge of corporate governance and regulatory compliance related to captive insurance programs.
  • Established internal and external professional networks.

Compensation & Benefits

  • National salary range: $149,000 to $279,000 annually.
  • Expected starting salary range: $149,000 to $249,000 annually.
  • Benefits include medical, dental, vision, life insurance, short and long-term disability coverage.
  • Paid time off starting at a minimum of 18 days per year, nine paid holidays, lifetime paid time off, and Unity Day paid time off.

Location

  • This position is open to remote work within the United States.
  • Preference for candidates to work from primary offices located in Columbus, OH; Des Moines, IA; or Scottsdale, AZ, with hybrid work options available.
  • Candidates may be located in any of the lower 48 U.S. states.
