Overview

A global digital transformation consultancy is seeking a Commercial Attorney to join their lean, high-performing legal team supporting the Americas. This role involves managing a high volume of complex digital services contracts and partnering closely with the General Counsel on commercial contracting, legal operations, and process improvement.

Responsibilities

  • Manage end-to-end drafting, review, and negotiation of Master Service Agreements (MSAs), Statements of Work (SOWs), Non-Disclosure Agreements (NDAs), and vendor agreements related to digital transformation, cloud, data, and AI engagements.
  • Collaborate with Commercial Finance and business stakeholders to analyze contract terms, identify risks, and deliver pragmatic, revenue-aligned solutions.
  • Develop and scale the operational infrastructure of the legal function, including playbooks, templates, clause libraries, and negotiation frameworks.
  • Design and continuously improve legal workflows, intake processes, and reporting to support a high-throughput, global contracting environment.
  • Support implementation and optimization of Contract Lifecycle Management (CLM) systems and AI-enabled legal tools such as smart redlining, document analytics, obligation management, and Salesforce integration.
  • Identify and execute opportunities to automate manual work and increase efficiency across contracting and legal operations.
  • Work directly with the General Counsel on day-to-day legal matters, operating with high ownership in a fast-paced environment.
  • Coordinate with a distributed global legal team to ensure alignment on standards, workflows, and delivery.
  • Provide broader commercial legal support across intellectual property, privacy, employment, and vendor-related matters.
  • Support management of active litigation matters, contribute to the privacy program, and collaborate with compliance on U.S. regulatory issues.

Information Security Responsibilities

  • Promote and enforce awareness of key information security practices, including acceptable use of information assets, malware protection, and password security protocols.
  • Identify, assess, and report security risks impacting confidentiality, integrity, and availability of information assets.
  • Ensure compliance with data privacy and protection standards such as GDPR and CCPA.
  • Integrate data protection measures throughout the information lifecycle to safeguard sensitive information.

Requirements

  • Juris Doctor (J.D.) from an ABA-accredited law school with active bar membership in at least one U.S. jurisdiction.
  • 4–8 years of commercial contracting experience, preferably including in-house experience within technology services, consulting, or digital agency environments.
  • Strong drafting and negotiation skills for technology services agreements including MSAs, SOWs, and vendor contracts.
  • Ability to manage a high volume of contracts while maintaining attention to detail and driving deals to closure.
  • Process-oriented mindset focused on building scalable systems, improving workflows, and increasing operational efficiency.
  • Experience with or strong interest in legal operations, including CLM systems, contract automation, and process design.
  • Enthusiasm for AI and legal technology, with active interest in advancing contract review, redlining, automation, and legal research capabilities.
  • Self-starter and problem solver capable of working independently in a fast-paced environment with minimal oversight.
  • Effective collaborator across distributed global teams and multiple stakeholders.
  • Familiarity with digital, cloud, data, or AI-related agreements, and exposure to data privacy, litigation management, and intellectual property considerations.

Compensation & Benefits

  • Salary range: $175,000 - $215,000 per year.
  • Individual pay is determined by experience, education, and organizational needs, with higher salaries generally reserved for highly experienced candidates.

  • This is a remote position supporting the Americas region.
