Overview
A growing Legal & Compliance team is seeking a highly motivated and organized Senior Paralegal. This role involves acting as a key operational and legal partner across various matters including commercial contracts, corporate governance, marketing, regulatory, and cross-border compliance. The position requires end-to-end ownership of complex projects in a fast-paced, remote-first environment with significant autonomy.
Responsibilities
Contracts
- Draft, review, and manage a wide range of commercial agreements such as SaaS/IaaS, NDAs, vendor, partnership, and data processing agreements.
- Develop and maintain standard contract templates, playbooks, and approval workflows.
Corporate Governance
- Manage global entity records including formations, qualifications, dissolutions, and regulatory filings across multiple jurisdictions.
- Support corporate governance activities including board resolutions, corporate minute books, cap tables, governance documentation, entity maintenance, and subsidiary management.
- Assist with board meeting logistics including preparation of agendas, resolutions, and minutes.
Regulatory & Compliance
- Monitor regulatory developments in digital assets, staking, and DeFi across key jurisdictions (US, EU/MiCA, UK, APAC) and conduct relevant research.
- Support license and registration applications and maintain correspondence with regulators.
- Assist in preparing responses to government inquiries and subpoenas.
- Support data privacy compliance matters including GDPR, CCPA, and other applicable frameworks.
- Assist with employment and HR-related legal matters across U.S. and international jurisdictions.
Marketing
- Review and provide legal support for marketing and communications materials such as advertising copy, promotional content, partner announcements, and social media posts to ensure compliance with regulations and brand standards.
- Draft marketing agreements including rights of publicity, case studies, releases, sponsorships, and event contracts.
Legal Operations
- Own and continuously improve legal tooling, document repositories, and workflows.
- Manage the contract lifecycle management (CLM) system, tracking renewals and key obligations.
- Identify and implement tooling improvements across the legal function (e.g., e-signature, matter management, knowledge management).
Requirements
Required:
- 8+ years of paralegal experience in-house or at a law firm, with at least 2 years in a senior role.
- Strong background in corporate/commercial law and technology contracts.
- Experience with international entity management and multi-jurisdictional filings.
- Proficiency with CLM software (such as Ironclad, SpotDraft), DocuSign, and GSuite or Microsoft 365.
- Excellent written communication and organizational skills; ability to work autonomously and handle ambiguity.
Preferred:
- Experience in blockchain, crypto, Web3, or digital asset companies.
- Familiarity with digital asset regulations including MiCA, VASP/AMLD5, FCA, and FinCEN.
- Exposure to GDPR, CCPA, or other data protection frameworks.
- Experience supporting intercompany restructurings.
Compensation & Benefits
- Base salary range: $80,000 - $130,000 USD annually, determined by experience, skills, qualifications, geographic location, and internal equity.
