Overview
A remote Senior Paralegal position is available to provide professional legal support to attorneys within the Department of Legal Affairs (DLA). This role involves managing legal matters in partnership with attorneys, exercising independent judgment to recommend and carry out actions, and bringing matters to closure. The position supports various operations within the organization's footprint and interacts frequently with internal and external clients, outside counsel, third-party vendors, and business associates.
Responsibilities
General Paralegal Duties
- Maintain strict confidentiality, trustworthiness, and integrity.
- Understand and comply with ABA Model Rule 5.3 to avoid unauthorized practice of law.
- Pursue professional growth through educational programs, literature review, and continuing legal education.
- Monitor and manage all aspects of legal projects or matters, including transactions, governance, investigations, and litigation.
- Assist attorneys with intake, triage, tracking, and prioritization of ongoing matters.
- Request necessary documentation from business partners to support attorney work.
- Identify and refine legal issues to focus attorney attention.
- Act as first-line reviewer of legal invoices when requested.
- Collaborate with outside counsel as applicable.
- Independently utilize platforms such as ServiceNow, Legal Tracker, iManage, and other document management systems, including reporting functions.
- Field inquiries from outside counsel and business partners, summarizing relevant details.
- Communicate directly and through correspondence with high-level internal and external customers.
- Prepare materials for meetings and presentations.
- Assist with onboarding new team members regarding workflows and processes.
- Identify and suggest process improvements to relevant stakeholders.
- Draft and review contracts including physician, clinical education, clinical research, services agreements, and supply chain purchase agreements.
- Develop practice tools to aid in drafting and reviewing legal documents.
- Draft and manage various departmental forms and policies.
- Compose, edit, and proofread correspondence, memos, presentations, and materials within scope of authority.
- Lead or participate in document review to support legal matters.
- Review existing documents and databases to locate preexisting analyses or work products.
- Conduct legal research as requested.
- Assist in maintaining the department's website and keep model documents current.
- Lead collection of division/local information for updates and revisions.
- Manage special projects as assigned.
- Work independently, manage time effectively, and prioritize efforts based on departmental and organizational priorities.
- Assist with training new team members.
Practice Area Specific Responsibilities: Healthcare Operations
- Manage intake and triage of new legal service requests via ServiceNow following division policies.
- Draft and prepare a wide range of documents including resolutions, governance documentation, certifications, consents, reports, articles of incorporation, letters of intent, deeds, and leases.
- Provide substantive support on intellectual property matters, regulatory issues, contracting, medical staff matters, and pre-litigation disputes.
- Enter timely status updates in Legal Tracker and ensure accurate matter records and document filing in iManage.
- Coordinate conflict waiver requests ensuring compliance with established requirements.
- Support governmental inquiries, civil investigative demands, regulatory investigations, and litigation components.
- Assist with regulatory filings including certificates of need.
- Coordinate medical staff matters such as peer review, credentialing, board investigations, and complaints.
- Draft and review physician/provider agreements and templates; provide education on contracting concepts.
- Draft and review various legal documents including clinical education/affiliation agreements, non-disclosure agreements, letters of intent, and business associate agreements.
- Participate in operational policy reviews and revisions, including statutory research.
- Maintain knowledge of federal and state healthcare laws such as Stark Law, Anti-Kickback Statute, False Claims Act, Medicare and Medicaid billing rules, HIPAA-HITECH, and EMTALA, and explain these concepts to diverse audiences.

Required Qualifications
- Associate's Degree from an ABA-approved Paralegal Studies Program or a certificate from a paralegal program with at least 24 semester units in law-related courses.
- Minimum of 5 years paralegal experience in a relevant practice area within an in-house legal team or equivalent law practice setting.
- Demonstrated experience performing substantive legal work for multiple attorneys in a relevant practice area.
Preferred Qualifications
- Bachelor's Degree in Paralegal Studies, Law, or Legal Studies.
- Notary Public certification upon hire.
- At least 2 years of experience in the healthcare industry working with large integrated health systems.

Location
This is a remote position supporting the organization's system offices located in Irvine, California (15480 Laguna Canyon Rd). The role requires full-time day shift availability.
