Overview
A financial technology organization is seeking a Senior Product Counsel to support its Lending business. This role involves providing strategic legal counsel for credit partnerships, including consumer and commercial loan origination, lines of credit, loan participations, and other bank-fintech lending collaborations. The position requires close collaboration with Go-to-Market, Engineering, Compliance, Risk, and Finance teams to drive product development and expansion within complex regulatory environments.
Responsibilities
- Provide strategic legal guidance to enable product innovation across the credit and lending portfolio.
- Partner with business teams and fintech partners from ideation through launch, anticipating challenges and designing solutions that balance business needs with regulatory compliance.
- Advise on credit product structuring and the legal implications of new lending features and partnership models.
- Develop and maintain regulatory frameworks for existing and new products, leveraging expertise in TILA, ECOA, UDAAP, FCRA, state usury and licensing laws, EWA, federal preemption, and true lender risk.
- Collaborate with compliance and risk teams to create scalable approaches that protect the business while enabling growth.
- Serve as the subject matter expert on legal and regulatory requirements impacting credit and lending business lines.
- Lead the legal structuring of loan agreements, line of credit products, EWA lending and non-lending offerings, and BNPL partnerships.
- Draft and review customer-facing terms, marketing materials, onboarding flows, and applications.
- Determine BSA/AML requirements and conduct true lender analyses.
- Work closely with engineering to design flow-of-funds models and reflect product structures in legal documentation.
- Drive adoption of technology, including AI and automation tools, to increase efficiency and scalability of legal workflows.
- Design and implement legal processes that scale with hypergrowth, improving partner onboarding efficiency while maintaining compliance.
- Develop template loan program agreements, disclosure packages, and servicing frameworks to accelerate new partnership launches.
Requirements
- Licensed to practice law in a U.S. state with a J.D. or equivalent.
- 7–15+ years of legal experience, preferably with both law firm and in-house experience at a fintech and/or financial institution.
- Deep expertise counseling product teams on banking infrastructure and embedded finance solutions, especially in consumer and/or commercial lending regulatory frameworks.
- Comprehensive knowledge of regulatory frameworks governing banking partnerships and fintech services.
- Strong working knowledge of TILA/Regulation Z, ECOA/Regulation B, FCRA, UDAAP, state usury laws, rate exportation, valid-when-made frameworks, state licensing regimes (servicing and collections), BSA/AML, and true lender doctrine.
- Experience structuring agreements and advising on bank-fintech lending partnerships.
- Familiarity with loan sale, participation, and servicing agreements.
- Ability to make fast, sound risk decisions in ambiguous legal landscapes.

- Annual base salary range: $210,000 - $300,000 plus equity.
