Overview
This role involves serving as Senior Corporate Counsel, Corporate Affairs, reporting to the Executive Vice President & Chief Legal Officer. The position provides legal oversight of corporate governance and public company reporting obligations, supporting key agreements and corporate transactions. The individual will operate independently within the Legal Department to address the diverse legal needs of a growing business.
Responsibilities
- Manage general corporate matters including corporate organization, securities compliance, stock incentive plan administration, drafting transactional documents, license agreements, and contract management.
- Handle corporate governance and securities issues, advising in-house clients with sound legal and practical judgment.
- Prepare, review, and advise on all company SEC filings such as transaction documents, proxy statements, periodic reports, registration statements, Section 16 filings, and related corporate records.
- Assist in scripting investor calls and preparing executive management for participation.
- Review and draft public disclosures and corporate communications including earnings releases, press releases, and social media content.
- Support mergers, acquisitions, investments, and other strategic transactions by coordinating internal teams and due diligence.
- Draft and review board books, minutes, and resolutions for Board and Committee meetings and actions.
- Create, implement, and manage subsidiaries including board resolutions, filings, bank account creation, and analysis of legal and financial considerations.
- Advise key decision-makers in contract negotiations and business arrangements, identifying solutions and managing risk.
- Provide legal support for expanding international operations, identifying business and legal risks, and collaborating cross-functionally to mitigate risks.
- Support emergent legal matters as needed.
- Assist with legal compliance activities including FCPA program administration and conflict minerals reporting.
- Collaborate with the legal team and internal clients to develop and improve internal processes supporting legal department growth and compliance.
- Maintain confidentiality of legal communications and documentation.
- Ensure compliance with company policies including Privacy/HIPAA and other legal and regulatory requirements.
Requirements
- Juris Doctor (JD) or equivalent law degree.
- Licensed to practice law in California or licensed in another state and registered as In-House Counsel in California.
- Minimum of 7 years of relevant legal experience, including advising public company clients on SEC reporting and corporate governance; at least 2 years of in-house experience preferred.
- Understanding of design and administration of stock incentive plans.
- Experience managing complex business relationships and transactions requiring strategic and tactical coordination.
- Excellent analytical and problem-solving skills.
- Working knowledge of international, federal, and state regulations applicable to medical device companies.
- Willingness to learn key principles related to human clinical trials and associated laws, regulations, and agreements.
- Strong verbal and written communication skills.
- Ability to operate independently, prioritize effectively, and manage substantial and diverse workloads.
- High integrity with sound judgment and ethics.
- Effective interpersonal skills for interaction with diverse audiences including outside counsel, senior management, and business associates.
Compensation & Benefits
- Starting base salary range: $203,000 - $250,000 annually, varying based on knowledge, skills, experience, location, and market conditions.

Location
- This is a fully remote position open to candidates within the United States.
- Preference for candidates located on the West Coast.
