Overview
This role is for a Senior Corporate Counsel / Director of Legal reporting directly to the General Counsel. The position requires a strategic generalist attorney to provide trusted legal advice across a broad range of areas including technology transactions, privacy, product development, employment, and M&A. The role demands autonomy, direct engagement with executive leadership, and the ability to scale the legal function to meet evolving business needs. Proficiency in leveraging AI and legal technology to enhance efficiency is essential.
Responsibilities
Technology Transactions & Commercial Contracts
- Draft, negotiate, and manage technology and commercial contracts such as Master Subscription Agreements, SaaS Order Forms, Statements of Work, Data Processing Agreements, OEM agreements, technology licensing agreements, and vendor/partner agreements.
- Lead and support complex negotiations with enterprise customers and strategic partners, particularly in life sciences industries (pharma, medtech).
Legal Operations & AI Enablement
- Collaborate with General Counsel and outside counsel on complex legal matters.
- Manage and support the legal operations team as the department grows.
- Utilize AI tools and legal technology to improve contract lifecycle management, legal research, and document review.
- Develop and maintain contract templates, playbooks, and standardized processes to improve consistency and reduce cycle times.
Business Partnership
- Advise Sales, Customer Success, Finance, Product, HR, and other leadership on deal structuring, risk allocation, and translating legal risks into business terms.
- Partner with Product and Engineering teams on new product launches, feature development, terms of service, and go-to-market legal requirements.
Cross-Functional Legal Coverage
- Support privacy and data protection programs, advising on GDPR, CCPA, and other regulations.
- Assist with intellectual property strategy and protection of technology platforms and proprietary assets.
- Participate in M&A activities including due diligence, transaction execution, and post-close integration.
- Assist with commercial disputes, customer escalations, and pre-litigation matters.
- Advise HR on employment-related issues including offer letters, separation agreements, policies, investigations, and compliance.
- Oversee procurement functions and supervise procurement team members.
- Manage ESG initiatives including policy development, reporting, supply chain diligence, and cross-functional coordination.
Qualifications
- J.D. from an accredited law school and active bar membership.
- 6–8 years of legal experience for Senior Corporate Counsel; 8–12 years for Director of Legal.
- Experience with technology transactions and commercial contracts, including SaaS agreements and data processing agreements.
- Experience supporting M&A transactions including due diligence and integration.
- Working knowledge of privacy laws such as GDPR and CCPA.
- Experience advising on employment law and related matters.
- Background working with SaaS or technology companies.
- Comfortable using AI tools and legal technology platforms to enhance efficiency.
- Strong communication skills to translate legal issues into practical business guidance.
- Ability to operate autonomously, manage priorities, and exercise sound judgment.

- Base salary range: $175,000 - $220,000, with consideration for experience, education, location, and skills.
